Company Registration in Kochi: Documents, Fees and Local Rules
In short
Company Registration in Kochi is fully online via SPICe+. The company comes under ROC Ernakulam, pays Kerala stamp duty on its MOA and AOA and pays professional tax half-yearly to the local body.
Company Registration in Kochi is done entirely online through the SPICe+ form on the Ministry of Corporate Affairs (MCA) portal; there is no office to visit. What makes Kochi different is local: the company comes under the Registrar of Companies, Ernakulam, pays Kerala stamp duty on its MOA and AOA, pays professional tax half-yearly to the local body, and must register under Kerala's shops law even with no employees.
This guide explains those local pieces in plain language. For the national process, start with the pillar guide How to Register a Company in India, then come back here for the Kochi and Kerala details. Rules and rates below are as of October 2026.
Private Limited Company Registration in Kochi: documents and costs
Start with the proposed ownership, a genuine registered office address and a budget for incorporation and yearly compliance. For Kochi, use the local ROC, stamp-duty and state-rule sections below alongside the national filing guides.
- Company Registration documents: prepare the founders', Shareholders' and office records before filing.
- Registration fees and charges: separate government costs, Kerala stamp duty, digital signatures and professional fees.
- PVT LTD, LLP or OPC: compare ownership, funding and recurring obligations.
- Annual maintenance and compliance: budget beyond the incorporation certificate.
For another location, use the India city and state directory. For business activity figures, read the Kerala Company Registration Trend; those figures describe the whole state/UT rather than individual cities.
Is Company Registration in Kochi different from the rest of India?
The core process is the same everywhere in India. A Private Limited Company (PVT. LTD.), One Person Company (OPC) or Limited Liability Partnership (LLP) is registered under central law on the same MCA portal, using the same forms. The incorporation application itself is processed centrally by the Registrar of Companies at the Central Registration Centre (CRC), which issues the Certificate of Incorporation.
Three things do depend on your registered office being in Kochi:
- Which Registrar of Companies (ROC) supervises the company after incorporation.
- Stamp duty on the Memorandum of Association (MOA) and Articles of Association (AOA), which is a state tax.
- State and local Registrations, such as professional tax and Shop and Establishment Registration.
The step-by-step lessons for each structure are in the PVT. LTD. Registration guide, the LLP Registration guide and the OPC Registration guide.
Which ROC covers a company registered in Kochi?
The Registrar of Companies (ROC) is the MCA office that keeps a company's records, examines its filings and acts on defaults. Kerala has a single ROC, located in Kochi and named after the district: ROC Ernakulam. It covers the whole of Kerala and the Union Territory of Lakshadweep. Founders sometimes look for a "ROC Kochi" or "ROC Cochin"; it is the same office.
The MCA reorganised several offices with effect from 16 February 2026 (PIB release). ROC Ernakulam was not split, but Kerala and Lakshadweep, together with Karnataka, now come under a new Regional Director, South-Western Region, at Bengaluru. The Regional Director handles matters above the ROC's level, such as approving a shift of registered office to another state. Jurisdiction can be adjusted by later notifications, so confirm it on the MCA portal if in doubt.
How much is stamp duty on the MOA and AOA in Kerala?
Stamp duty is a tax the state charges on legal documents, here under the Kerala Stamp Act, 1959. According to the MCA's e-stamp duty schedule, a company with share capital pays:
| Document | Kerala stamp duty |
|---|---|
| SPICe+ incorporation form | ₹25 |
| Memorandum of Association (MOA) | ₹1,000 |
| Articles of Association (AOA), authorised capital up to ₹10 lakh | ₹2,000 |
| AOA, authorised capital above ₹10 lakh and up to ₹25 lakh | ₹5,000 |
| AOA, authorised capital above ₹25 lakh | 0.5% of authorised capital |
So a small company with ₹1 lakh or ₹10 lakh of authorised capital pays ₹3,025 in stamp duty in all, which is higher than flat-rate states such as Uttar Pradesh or West Bengal, while a company with ₹1 crore pays ₹50,000 on the AOA alone.
You do not have to buy stamp paper. SPICe+ computes the Kerala stamp duty from the capital you enter, and you pay it online with the MCA fees. The guide to Registration cost and government fees lists every statutory cost.
What address can you use as a registered office in Kochi?
Every company needs a registered office in India where it can receive official letters. In Kochi this can be a rented or owned office, a home (yours or a family member's) or a co-working space, as long as you have proof of address, such as a recent electricity bill, and a no-objection certificate from the owner. Later Registrations such as GST may involve a check of the premises, so the address must be genuine. The lesson Registered office: which address can you use? covers this in detail.
One Kochi-specific point: "Kochi" in everyday speech covers more than the Kochi Municipal Corporation. Business areas such as Kakkanad (home of Infopark) and Kalamassery are under separate municipalities. Professional tax and local licences are handled by the local body where the office actually is.
What state Registrations does a Kochi business need after incorporation?
Professional tax in Kochi
Professional tax is a tax on employment and trades, capped at ₹2,500 per person per year. In Kerala it is levied by local bodies under the Kerala Municipality Act, 1994 and the Kerala Panchayat Raj Act, 1994, so a company in the city deals with the Kochi Municipal Corporation, and one in Kakkanad or Kalamassery with that municipality. Key points:
- It is assessed half-yearly (April–September and October–March).
- The company itself is liable, and as an employer it deducts tax from employees' salaries according to the half-yearly income slabs and pays it to the local body.
- Low half-yearly incomes are exempt, and the maximum is ₹1,250 per half-year. The slabs were last revised with effect from 1 October 2024.
Shop and Establishment Registration
Offices and shops in Kerala are covered by the Kerala Shops and Commercial Establishments Act, 1960. Unlike Rajasthan or Uttar Pradesh, which register only establishments above a worker threshold, Kerala requires covered establishments to register even with no employees. The application is online through the Kerala Labour Commissionerate, generally within 60 days of starting work, and the certificate is renewed every year. Fees depend on the number of employees and were revised by the Kerala Shops and Commercial Establishments (Amendment) Rules, 2025, notified in February 2026.
Other common ones
- GST Registration, when turnover or the type of supply requires it (see below).
- Trade licence from the Kochi Municipal Corporation or the relevant municipality for certain trades, and food licences for food businesses.
- EPF and ESI Registration, central schemes that apply once employee numbers cross their thresholds.
How does GST Registration in Kochi work?
GST Registration in Kochi is online on the GST portal, with no government fee. You apply with the company's PAN, directors' details, proof of the principal place of business and bank details. The GSTIN begins with 32, the state code for Kerala. Each registered person is allotted for administration either to the Kerala State GST Department or to the Central GST authority; you do not choose which.
A company does not need GST just because it is incorporated. It needs GST Registration when turnover crosses the threshold, or when the law makes it compulsory regardless of turnover, for example for most inter-state sales of goods. Read Who must register for GST? for the full rules.
Do you need "Company Registration near me" in Kochi?
Many founders search for Company Registration near me, expecting to visit an office. In reality, every step — name approval, Digital Signature Certificate (DSC), SPICe+, PAN, TAN and GST Registration — is done online. A founder living abroad can register a Kochi company without travelling. Location matters for the registered office address, stamp duty and state rules, not for who files the forms.
SPICe+ must, however, be certified by a practising Chartered Accountant, Company Secretary or Cost Accountant. CA or CS: who does what for your company? explains how to check one.
What does the first year look like for a Kochi company?
- Open the bank account and deposit the share subscription money.
- Hold the first board meeting within 30 days and appoint the first auditor.
- Complete Shop and Establishment Registration, and set up professional tax with the local body.
- File Form INC-20A (commencement of business) within 180 days of incorporation.

Method: Deduplicated MCA Companies master, both Companies sheets; registration dates allocate financial years and validated CIN jurisdiction codes assign states/UTs. Percentages use all dated Companies assigned to that state/UT in the same period, including Other / Unclassified. Explicit activity codes are used where available, otherwise the CIN industry code is used. Legacy and newer activity divisions are mapped to common broad groups using each source workbook’s reporting period (newer Company classification from February 2023). Broad groups support comparison; they do not identify every specific service such as AI or digital marketing. These two tables use periods after the classification change. Unassigned locations are excluded rather than guessed. Figures checked on 19 October 2026.
