Which ROC covers a company registered in Pune?

The Registrar of Companies (ROC) is the MCA office that keeps the company's records, examines its filings and acts on defaults. The MCA reorganised its regional offices with effect from 16 February 2026 (PIB release). The old ROC Mumbai was split into ROC Mumbai-I, ROC Mumbai-II (Navi Mumbai) and a new ROC Nagpur, while ROC Pune continued for Pune and the remaining western Maharashtra districts.

Above the ROC sits a Regional Director, who handles matters such as shifting a registered office between ROC areas. Under the same reorganisation, Maharashtra districts outside Mumbai, including Pune, now fall under the Regional Director, Western Region II, at Navi Mumbai. So moving a company's registered office from Pune to Mumbai, for example, is not a simple address change; it needs the Regional Director's confirmation. District lists can be adjusted by later notifications, so confirm the current jurisdiction on the MCA portal.

How much is stamp duty on the MOA and AOA in Maharashtra?

Stamp duty is a tax charged by the state on legal documents, and Pune follows the same Maharashtra Stamp Act, 1958 as Mumbai. The AOA of a company attracts duty of 0.3% of the share capital, subject to a maximum of ₹1 crore, a rate in force since 14 October 2024, when an amendment raised it from 0.2%. The MOA attracts a separate, small fixed duty.

  • Because the AOA duty is a percentage, ₹10 lakh of authorised capital means AOA stamp duty of ₹3,000 in Maharashtra, more than in states with low flat rates.
  • You do not buy stamp paper. SPICe+ calculates the duty from your capital and you pay it online with the MCA fees.
  • If the company later increases its authorised capital, Maharashtra stamp duty is payable on the increase too.

What address can you use as a registered office in Pune?

Every company needs a registered office where it can receive official letters. In Pune this can be a rented or owned commercial office, a residential flat (your own or a family member's) or a co-working space, as long as you have proof of address, such as a recent electricity bill, and a no-objection certificate from the owner. Broadly, an establishment with 10 or more workers must obtain a Registration certificate, while a smaller one files an online intimation. It is handled online through the state labour department.
