Company Registration government fees chart: MCA fees, stamp duty and other statutory costs
In short
Company Registration government fees: MCA fee nil up to ₹15 lakh authorised capital, state stamp duty on MoA and AoA, PAN and TAN charges and DSCs. LLPs pay FiLLiP and Form 3 fees by contribution.
For a Private Limited Company or One Person Company with authorised capital up to ₹15 lakh, the MCA charges no incorporation fee. The statutory cost is then mainly the ₹1,000 name fee, state stamp duty on the MoA and AoA (from a few hundred to a few thousand rupees, depending on the state), small PAN and TAN charges, and a Digital Signature Certificate for each signatory, which is market-priced. An LLP pays ₹200 for RUN-LLP if used, a FiLLiP fee from ₹500, a Form 3 fee from ₹50 and state stamp duty on its LLP agreement.
This page works like a fee calculator without the tool: a set of charts you can read line by line to estimate the government part of Registration for your structure, capital and state. It covers only government and statutory costs — not professional fees. Figures are as of October 2026. Where a figure is set by a state or can change, the chart says so; the MCA portal always shows the exact amount before you pay.

A DSC is not a government fee. Its price is set by each Certifying Authority licensed by the Controller of Certifying Authorities, and a founder who already holds a valid Class 3 DSC can reuse it.
What is the SPICe+ fee by authorised capital?
The MCA fee for a company depends on its authorised capital — the maximum share capital in its Memorandum of Association — not on the money actually invested (paid-up capital).
| Authorised capital | MCA fee for SPICe+, e-MoA and e-AoA |
|---|---|
| Up to ₹15 lakh | Nil |
| Above ₹15 lakh | Calculated by the portal on the fee slabs below |
The underlying slabs in the Companies (Registration Offices and Fees) Rules, 2014, for a company with share capital are:
| Portion of nominal (authorised) capital | Fee |
|---|---|
| Up to ₹1 lakh | ₹5,000 |
| Above ₹1 lakh up to ₹5 lakh | ₹400 for every ₹10,000 or part |
| Above ₹5 lakh up to ₹50 lakh | ₹300 for every ₹10,000 or part |
| Above ₹50 lakh up to ₹1 crore | ₹100 for every ₹10,000 or part |
| Above ₹1 crore | ₹75 for every ₹10,000 or part, with the additional fee capped at ₹2.5 crore |
Published estimates of the fee just above ₹15 lakh do not all agree, so this chart does not quote a single figure for that range. The safe reading is: up to ₹15 lakh, nil; above it, a fee that can run into tens of thousands of rupees, shown by the portal before payment. That is why most first-time founders start at ₹15 lakh or less and increase authorised capital later through Form SH-7, paying the fee and stamp duty on the increase at that time.
How much is stamp duty in each state?
Stamp duty on the MoA and AoA is a state tax, so the same company pays different amounts in different states. SPICe+ calculates it from your state and authorised capital, and you pay it online as an e-stamp along with the MCA fees. The rates below are taken from the city guides on this site; each guide gives sources and details.
| State (city guide) | MoA | AoA | AoA at ₹10 lakh capital |
|---|---|---|---|
| Maharashtra (Mumbai, Pune) | Small fixed amount | 0.3% of share capital, max ₹1 crore | ₹3,000 |
| Delhi (Delhi) | ₹200 | 0.15%, max ₹25 lakh | About ₹1,500 |
| Telangana (Hyderabad) | ₹500 (plus ₹20 on the form) | 0.15%, min ₹1,000, max ₹5 lakh | ₹1,500 |
| Tamil Nadu (Chennai) | ₹200 | 0.05%, max ₹5 lakh | ₹500 |
| Gujarat (Ahmedabad) | ₹100 | 0.5%, max ₹15 lakh | ₹5,000 |
| West Bengal (Kolkata) | ₹60 | ₹300 flat | ₹300 |
| Karnataka (Bangalore) | Revised from February 2024; published figures differ, so use the amount SPICe+ shows | ||
Other states have their own rates. If your state is not listed, the MCA's e-stamp schedule and the SPICe+ form are the reliable sources. Stamp duty is also payable later on any increase in authorised capital in most states.
LLP fee chart: FiLLiP and Form 3 by contribution
| Total contribution | FiLLiP (incorporation) | Form 3 (LLP agreement) |
|---|---|---|
| Up to ₹1 lakh | ₹500 | ₹50 |
| Above ₹1 lakh up to ₹5 lakh | ₹2,000 | ₹100 |
| Above ₹5 lakh up to ₹10 lakh | ₹4,000 | ₹150 |
| Above ₹10 lakh up to ₹25 lakh | ₹5,000 | ₹200 |
| Above ₹25 lakh up to ₹1 crore | ₹10,000 | ₹400 |
| Above ₹1 crore | ₹25,000 | ₹600 |
These slabs follow the LLP Rules as amended in 2022; the portal applies the slab in force. Stamp duty on the LLP agreement is set by the state and often depends on contribution. Form 3 must be filed within 30 days of incorporation, or additional fees apply. More in LLP Registration process and cost.
Estimate your own total: a worksheet
- Line A — name fee: ₹1,000 for a company name, whether applied for through RUN or in SPICe+ Part A; for an LLP, ₹0 if you apply in FiLLiP or ₹200 for RUN-LLP if you reserve it first.
- Line B — MCA fee: ₹0 for a company up to ₹15 lakh authorised capital; for an LLP, read the FiLLiP and Form 3 chart.
- Line C — stamp duty: read your state's row above, using your authorised capital (or LLP contribution).
- Line D — PAN and TAN: roughly ₹131 for a company, collected in SPICe+.
- Line E — DSCs: number of signatories without a valid DSC, multiplied by the market price you are quoted.
Worked example: two founders, a PVT. LTD. in Delhi with ₹1 lakh authorised capital, name applied in Part A. Line A ₹1,000; Line B ₹0; Line C about ₹200 + ₹150 = ₹350; Line D about ₹131. Government total: roughly ₹1,481, plus two DSCs at market price. The same company in Gujarat would pay about ₹600 in stamp duty instead (₹100 + 0.5% of ₹1 lakh).

Frequently asked questions
What is the MCA fee for Company Registration in India?
For a Private Limited Company or One Person Company with authorised capital up to ₹15 lakh, the MCA charges no fee for the SPICe+ incorporation form, e-MoA and e-AoA. Above ₹15 lakh, the fee is calculated by the MCA portal using the slabs in the Companies (Registration Offices and Fees) Rules, 2014. The name fee is ₹1,000 per name, whether applied for through RUN or in SPICe+ Part A.
How is stamp duty calculated for Company Registration?
Stamp duty on the Memorandum and Articles of Association is set by the state where the registered office is located. Some states charge flat amounts, such as West Bengal, while others charge a percentage of authorised capital on the Articles, such as 0.3% in Maharashtra or 0.5% in Gujarat, usually with a cap. SPICe+ calculates the duty and it is paid online with the MCA fees.
Is DSC cost a government fee for Company Registration?
No. A Digital Signature Certificate is issued by Certifying Authorities licensed by the Controller of Certifying Authorities, and each authority sets its own price based on validity and token. It is a statutory requirement but not a government fee. Each director and subscriber signing SPICe+ needs a valid Class 3 DSC, and an existing valid DSC can be reused.
What are the government fees for LLP Registration?
An LLP pays ₹200 for RUN-LLP if it reserves a name first, a FiLLiP incorporation fee ranging from ₹500 (contribution up to ₹1 lakh) to ₹25,000 (contribution above ₹1 crore), a Form 3 fee from ₹50 to ₹600 for filing the LLP agreement, and state stamp duty on the agreement. DSCs for designated partners are bought separately at market price.
Is there a Company Registration fee calculator on the MCA portal?
MCA publishes its fee schedule, and when you fill SPICe+ or FiLLiP the system computes the MCA fee and the state stamp duty from your authorised capital or contribution and state, showing the amount before payment. Before filing, you can estimate the total using the fee slabs, your state's stamp duty rates, the small PAN and TAN charges and the number of DSCs you need.
