Company Registration in Hyderabad: ROC Hyderabad, stamp duty and local rules
In short
Company Registration in Hyderabad is fully online via SPICe+. The company comes under ROC Hyderabad, pays Telangana stamp duty on its MOA and AOA and follows state professional tax rules.
Company Registration in Hyderabad is done entirely online through the SPICe+ form on the Ministry of Corporate Affairs (MCA) portal; there is no office to visit. What makes Hyderabad different is local: the company comes under ROC Hyderabad, pays Telangana stamp duty on its MOA and AOA, and follows Telangana rules after incorporation, such as professional tax and the Telangana Shops and Establishments Act.
This guide explains those local pieces in plain language. For the national process, read How to Register a Company in India or the Private Limited Company Registration step-by-step guide first, then come back here for the Hyderabad and Telangana details. Rules and rates below are as of October 2026.
Is Company Registration in Hyderabad different from the rest of India?
The core process is the same everywhere. A Private Limited Company (PVT. LTD.), One Person Company or LLP is registered under central law — the Companies Act, 2013 or the LLP Act, 2008 — on the same MCA portal, with the same forms. The incorporation application is processed centrally by the Registrar of Companies at the Central Registration Centre (CRC), which issues the Certificate of Incorporation.
Three things depend on your registered office being in Hyderabad:
- Which Registrar of Companies (ROC) supervises the company after incorporation.
- Stamp duty on the Memorandum of Association (MOA) and Articles of Association (AOA), which is a state tax.
- State and local Registrations such as professional tax and Shop and Establishment Registration.
Which ROC covers a company registered in Hyderabad?
The Registrar of Companies (ROC) is the MCA office that keeps the company's records, examines its filings and acts on defaults. ROC Hyderabad covers companies and LLPs with a registered office anywhere in Telangana, whether in Hyderabad city or in the surrounding districts such as Rangareddy, Medchal-Malkajgiri and Sangareddy. Andhra Pradesh has its own ROC at Vijayawada, so a company in Visakhapatnam or Vijayawada is not under ROC Hyderabad.
The MCA reorganised several regional offices with effect from 16 February 2026 (PIB release). The new ROCs created were in Delhi, Uttar Pradesh, Haryana, Maharashtra and West Bengal; ROC Hyderabad was not split. Above the ROC sits the Regional Director, South-Eastern Region, also headquartered at Hyderabad, which covers Telangana, Andhra Pradesh, Odisha and Chhattisgarh. The Regional Director handles matters such as shifting a registered office between ROC areas or states. Jurisdictions can be adjusted by later notifications, so confirm the current position on the MCA portal.
How much is stamp duty on the MOA and AOA in Telangana?
Stamp duty is a tax charged by the state on legal documents. According to the MCA's e-stamp duty schedule, a Telangana company with share capital (other than a Section 8 company) pays:
| Document | Telangana stamp duty |
|---|---|
| SPICe+ incorporation form | ₹20 |
| Memorandum of Association (MOA) | ₹500 |
| Articles of Association (AOA) | 0.15% of authorised capital, minimum ₹1,000, maximum ₹5 lakh |
So a company with ₹10 lakh of authorised capital pays ₹1,500 on the AOA, ₹500 on the MOA and ₹20 on the form, a total of ₹2,020 in stamp duty. You do not buy stamp paper: SPICe+ calculates the duty and you pay it online with the MCA fees. If the company later increases its authorised capital, stamp duty is payable on the increase too. The guide to Registration cost and government fees lists every statutory cost.
What address can you use as a registered office in Hyderabad?
Every company needs a registered office where it can receive official letters. In Hyderabad this can be a rented or owned commercial office, a residential flat (your own or a family member's) or a co-working space, as long as you have proof of address, such as a recent electricity bill, and a no-objection certificate from the owner. There is no rule that the address must be commercial, but some residential associations object to business use, and GST Registration may involve a physical check of the premises. The lesson Registered office: which address can you use? covers this in detail.
Hyderabad's business areas range from the IT corridor around HITEC City, Madhapur and Gachibowli to industrial parks developed by TGIIC (Telangana Industrial Infrastructure Corporation) and Genome Valley for life sciences. Manufacturing units apply for industrial approvals through TG-iPASS, the state's single-window clearance system; an office-based services company usually needs none of these.
What state Registrations does a Hyderabad business need after incorporation?
Telangana professional tax
Professional tax in Telangana is levied under the state's Tax on Professions, Trades, Callings and Employments Act, 1987, and administered by the Commercial Taxes Department through tgct.gov.in. Once a company pays salaries, it registers as an employer, deducts tax from employees' salaries and deposits it monthly, generally by the 10th of the following month. The salary slabs commonly applied are:
| Monthly salary | Professional tax per month |
|---|---|
| Up to ₹15,000 | Nil |
| ₹15,001 to ₹20,000 | ₹150 |
| Above ₹20,000 | ₹200 |
Companies and firms are also listed in the state schedule for their own enrolment. Rates, slabs and due dates are set by the state and can change, so check the current schedule on the Commercial Taxes Department site.
Shop and Establishment Registration
Offices and shops in Telangana are covered by the Telangana Shops and Establishments Act, 1988. Registration is online through the Telangana Labour Department. As an ease-of-doing-business measure, the state moved to quick online certificates and removed the separate renewal application, but annual fee and other conditions may still apply, so read the current rules on the portal.
Other common ones
- GST Registration, when turnover or the type of supply requires it.
- Trade licence from the Greater Hyderabad Municipal Corporation (GHMC) or the local municipality for certain activities, such as food businesses.
- EPF and ESI Registration, central schemes that apply once employee numbers cross their thresholds.
How does GST Registration in Hyderabad work?
GST Registration in Hyderabad is online on the GST portal, with no government fee. The GSTIN begins with 36, the code for Telangana. Each registered person is allotted either to the Telangana State GST administration or to the Central GST authority; you do not choose which. A company needs GST Registration when its turnover crosses the threshold, or when the law makes it compulsory regardless of turnover, for example for most inter-state sales of goods. Read Who must register for GST? for the full rules.
Do you need "Company Registration Near Me" in Hyderabad?
Many founders search for Company Registration near me, expecting to visit an office. In reality every step — name approval, Digital Signature Certificates, SPICe+, PAN, TAN and GST Registration — is done online, so a Hyderabad company can be registered from anywhere. Location matters for the registered office, stamp duty and state rules, not for who files the forms. SPICe+ must be certified by a practising Chartered Accountant, Company Secretary or Cost Accountant; the explainer CA or CS: who does what for your company? explains how to evaluate one.
