Documents checklist

In short

To register a Private Limited Company, each Indian director and shareholder needs PAN, Aadhaar, a recent address proof and a photo; the office needs a recent utility bill and the owner's NOC.

To register a Private Limited Company, each Indian director and shareholder needs PAN, Aadhaar, a recent address proof and a photograph; NRI and foreign individuals need a passport and attested address proof; and the registered office needs a recent utility bill with the owner's No Objection Certificate (plus a rent agreement if rented).

Here is the standard checklist of Company Registration documents required for a Private Limited Company. Keep everything as clear scanned copies, and make sure names and dates of birth match across documents.

What documents does each Indian director and shareholder need?

  • PAN card
  • Aadhaar card (mobile number linked, for OTP)
  • Address proof — latest bank statement, electricity, telephone or mobile bill (normally not older than two months)
  • Passport-size photograph
  • Email address and mobile number
  • Details of other directorships, if any
  • Digital Signature Certificate (DSC) for everyone who signs the forms

What documents does an NRI or foreign director or shareholder need?

  • Passport
  • Residence proof from their country (bank statement, utility bill, driving licence or residence card)
  • Notarised and apostilled/attested copies, as required — documents signed abroad are normally apostilled in countries that are part of the Hague Apostille Convention, or attested by the Indian embassy or consulate elsewhere
  • PAN, if the person already has one

Foreign shareholding is also subject to India's foreign direct investment (FDI) rules, which set sector limits and reporting requirements.

What does a company or LLP shareholder need?

  • Certificate of incorporation
  • PAN of the company or LLP
  • Board resolution (or partners' resolution for an LLP) authorising the investment and naming the authorised signatory

What documents are needed for the registered office?

  • Latest utility bill of the premises
  • No Objection Certificate from the owner
  • Rent or leave-and-licence agreement, if rented

The registered office can be a home address, as long as the owner consents. The address on the utility bill should match the address given in the form exactly.

Documents checklist at a glance

Who Identity Address Other
Indian director / shareholder PAN, Aadhaar Bank statement or utility bill Photo, email, mobile, DSC
NRI / foreign individual Passport Overseas address proof Notarised and apostilled or attested copies
Company / LLP shareholder Certificate of incorporation, PAN — Board or partners' resolution
Registered office — Utility bill Owner's NOC; rent agreement if rented

What company details should you decide before filing?

  • Two or three name options
  • Main business activity (for the objects clause)
  • Authorised and paid-up capital, and the shareholding split
  • Who will be the first directors, and who signs as the resident director

What are the common document mistakes?

  • Name spelled differently on PAN and Aadhaar, or a missing middle name.
  • Address proof older than two months.
  • Utility bill address that differs from the address typed in the form.
  • Blurred or cropped scans.

The forms themselves are filed on the MCA portal, where the current attachment requirements are listed.

Why are documents checked so closely?

The Central Registration Centre matches every document against the details typed into SPICe+ and against PAN and Aadhaar records. Any mismatch — a spelling, a date of birth, an address line — can send the application back for resubmission and delay incorporation by several days. Checking documents carefully before filing is the simplest way to get the company registered in one attempt.

Key takeaways

  • Recent address proofs — usually within two months.
  • Names and dates of birth must match across PAN and Aadhaar.
  • Decide capital and shareholding before filing.

Frequently asked questions

Is a rent agreement mandatory for Private Limited Company Registration?

A rent or leave-and-licence agreement is needed only when the registered office is rented. If the premises are owned by a director or a family member, a recent utility bill and a No Objection Certificate from the owner are normally enough. Whatever the case, the utility bill must show the same address as the one given in the incorporation form.

Can a company be registered without a utility bill for the office?

In practice, a recent utility bill such as electricity, water, gas or telephone is the standard proof of the registered office address. Where the bill is not in the owner's name or is not available, other address proof such as a property tax receipt or sale deed may be needed. Missing or old office proof is a common reason for resubmission.

What documents does a company need to become a shareholder in a PVT. LTD.?

A company or LLP investing as a shareholder normally provides a copy of its certificate of incorporation, its PAN, and a board resolution (or partners' resolution for an LLP) approving the investment and naming the authorised representative who will sign. A foreign company also provides its constitutional documents, usually notarised and apostilled.

Does every shareholder need a Digital Signature Certificate?

Every subscriber to the MoA and AoA, meaning each first shareholder, signs the e-MoA and e-AoA digitally and so needs a Digital Signature Certificate. Every proposed director signing the incorporation form also needs one. Later shareholders who buy shares after incorporation do not need a DSC unless they sign MCA forms.

Do NRI directors need apostilled documents for company Registration in India?

Usually yes. For NRI and foreign directors or shareholders, a passport and an overseas address proof are needed, and documents signed or issued abroad are normally notarised and then apostilled in countries that follow the Hague Apostille Convention, or attested by the Indian embassy or consulate elsewhere. Resident Indians simply upload clear scans of PAN, Aadhaar, address proof and a photograph.
