Which ROC covers a company registered in Ahmedabad?
The Registrar of Companies (ROC) is the MCA office that keeps a company's records, examines its filings and acts on defaults. Gujarat has a single ROC: ROC Ahmedabad, which covers the whole state. So a company registered in Ahmedabad, Gandhinagar (including GIFT City), Surat, Vadodara or Rajkot comes under the same ROC.
The MCA reorganised several ROC offices with effect from 16 February 2026 (PIB release), splitting the offices in Delhi, Mumbai, Kolkata and Kanpur. ROC Ahmedabad was not split by that change. Jurisdiction can be adjusted by later notifications, so confirm it on the MCA portal if in doubt.
Because one ROC covers all of Gujarat, moving the registered office from Ahmedabad to, say, Surat needs a special resolution and an ROC filing, but not the Regional Director's confirmation that a move between two ROCs requires.
How much is stamp duty on the MOA and AOA in Gujarat?
Stamp duty is a tax the state charges on legal documents. Under the Gujarat Stamp Act, 1958, the rates for a company with share capital are:

The maximum on the AOA was raised from ₹5 lakh to ₹15 lakh by the Gujarat Stamp (Amendment) Act, 2025; this matters only for companies with authorised capital above ₹10 crore. For a typical start-up the percentage is what counts: with ₹10 lakh of authorised capital, the AOA duty is ₹5,000, against ₹500 in Tamil Nadu or a flat ₹300 in West Bengal. So in Gujarat it is worth choosing the starting authorised capital thoughtfully; it can be increased later when the company actually needs it.
If the company later increases its authorised capital, Gujarat stamp duty is payable on the increase too, calculated at the same rate. You do not have to buy stamp paper: SPICe+ computes the duty from the capital you enter, and you pay it online with the MCA fees. What address can you use as a registered office in Ahmedabad?
Every company needs a registered office in India where it can receive official letters. Professional tax is a tax on professions, trades and employment that the Constitution caps at ₹2,500 per person per year. Gujarat levies it under the Gujarat State Tax on Professions, Trades, Callings and Employments Act, 1976. Offices and shops are covered by the Gujarat Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2019. An establishment with 10 or more workers must obtain a Registration certificate, which stays valid without renewal unless the ownership or nature of business changes.
