Company Registration in Jaipur: Documents, Fees and Local Rules
In short
Company Registration in Jaipur is fully online via SPICe+. The company comes under ROC Jaipur, pays Rajasthan stamp duty of 0.5% of authorised capital on its AOA and pays no professional tax.
Company Registration in Jaipur is done entirely online through the SPICe+ form on the Ministry of Corporate Affairs (MCA) portal; there is no office to visit. What makes Jaipur different is local: the company comes under the Registrar of Companies, Jaipur, pays Rajasthan stamp duty on its MOA and AOA (a percentage of capital on the AOA), does not pay professional tax, and follows Rajasthan rules such as the Shops and Commercial Establishments Act.
This guide explains those local pieces in plain language. For the national process, start with the pillar guide How to Register a Company in India, then come back here for the Jaipur and Rajasthan details. Rules and rates below are as of October 2026.
Private Limited Company Registration in Jaipur: documents and costs
Start with the proposed ownership, a genuine registered office address and a budget for incorporation and yearly compliance. For Jaipur, use the local ROC, stamp-duty and state-rule sections below alongside the national filing guides.
- Company Registration documents: prepare the founders', Shareholders' and office records before filing.
- Registration fees and charges: separate government costs, Rajasthan stamp duty, digital signatures and professional fees.
- PVT LTD, LLP or OPC: compare ownership, funding and recurring obligations.
- Annual maintenance and compliance: budget beyond the incorporation certificate.
For another location, use the India city and state directory. For business activity figures, read the Rajasthan Company Registration Trend; those figures describe the whole state/UT rather than individual cities.
Is Company Registration in Jaipur different from the rest of India?
The core process is the same everywhere in India. A Private Limited Company (PVT. LTD.), One Person Company (OPC) or Limited Liability Partnership (LLP) is registered under central law on the same MCA portal, using the same forms. The incorporation application itself is processed centrally by the Registrar of Companies at the Central Registration Centre (CRC), which issues the Certificate of Incorporation.
Three things do depend on your registered office being in Jaipur:
- Which Registrar of Companies (ROC) supervises the company after incorporation.
- Stamp duty on the Memorandum of Association (MOA) and Articles of Association (AOA), which is a state tax.
- State and local Registrations, such as Shop and Establishment Registration and municipal licences.
The step-by-step lessons for each structure are in the PVT. LTD. Registration guide, the LLP Registration guide and the OPC Registration guide.
Which ROC covers a company registered in Jaipur?
The Registrar of Companies (ROC) is the MCA office that keeps a company's records, examines its filings and acts on defaults. Rajasthan has a single ROC: ROC Jaipur, which covers the whole state. So a company registered in Jaipur, Jodhpur, Udaipur, Kota, Ajmer or Bhiwadi comes under the same ROC.
The MCA reorganised several ROC offices with effect from 16 February 2026 (PIB release), creating new ROCs in Delhi, Haryana, Uttar Pradesh, Maharashtra and West Bengal. ROC Jaipur was not split by that change. Jurisdiction can be adjusted by later notifications, so confirm it on the MCA portal if in doubt.
Because one ROC covers all of Rajasthan, moving the registered office from Jaipur to, say, Udaipur needs a special resolution and an ROC filing, but not the Regional Director's confirmation that a move between two ROC areas requires. Moving it to another state is a much bigger step.
How much is stamp duty on the MOA and AOA in Rajasthan?
Stamp duty is a tax the state charges on legal documents, here under the Rajasthan Stamp Act, 1998. According to the MCA's e-stamp duty schedule, a company with share capital pays:
| Document | Rajasthan stamp duty |
|---|---|
| SPICe+ incorporation form | ₹10 |
| Memorandum of Association (MOA) | ₹500 |
| Articles of Association (AOA) | 0.5% of authorised capital |
| Increase in authorised capital later (Form SH-7) | 0.2% of the increase, up to a maximum of ₹25 lakh |
Because the AOA duty is a percentage, authorised capital makes a real difference. With ₹1 lakh of authorised capital the AOA duty is ₹500; with ₹10 lakh it is ₹5,000; with ₹1 crore it is ₹50,000. Uttar Pradesh, by contrast, charges a flat ₹500 on the AOA. So in Rajasthan it is worth choosing the starting authorised capital thoughtfully; it can be increased later when the company actually needs it, at the lower SH-7 rate.
You do not have to buy stamp paper. SPICe+ computes the Rajasthan stamp duty from the capital you enter, and you pay it online with the MCA fees. The guide to Registration cost and government fees lists every statutory cost.
What address can you use as a registered office in Jaipur?
Every company needs a registered office in India where it can receive official letters. In Jaipur this can be a rented or owned office, a home (yours or a family member's) or a co-working space, as long as you have proof of address, such as a recent electricity bill, and a no-objection certificate from the owner. There is no rule that the address must be commercial. Later Registrations such as GST may involve a check of the premises, so the address must be genuine. The lesson Registered office: which address can you use? covers this in detail.
Manufacturing units in and around Jaipur often take plots in industrial areas developed by RIICO (Rajasthan State Industrial Development and Investment Corporation), such as Sitapura, and need factory, pollution and other approvals. An office-based services company usually needs none of these.
What state Registrations does a Jaipur business need after incorporation?
Is there professional tax in Jaipur?
No. Professional tax is levied by individual states, and Rajasthan does not levy it. A Jaipur company, its directors and its employees do not need professional tax enrolment, and salaries are paid without a professional tax deduction. If the company opens a branch or hires staff in a state that does levy it, such as Maharashtra or Gujarat, that state's rules apply to that branch.
Shop and Establishment Registration
Offices and shops in Rajasthan are covered by the Rajasthan Shops and Commercial Establishments Act, 1958. By a notification of 19 August 2025, the state exempted establishments employing up to 10 workers from Registration under the Act. An establishment with more than 10 workers registers online through the Rajasthan Labour Department. Exempt establishments still have to follow the Act's other rules on wages, working hours and leave.
Other common ones
- GST Registration, when turnover or the type of supply requires it (see below).
- Trade licence or other permissions from the municipal body for certain trades, and food licences for food businesses.
- EPF and ESI Registration, central schemes that apply once employee numbers cross their thresholds.
How does GST Registration in Jaipur work?
GST Registration in Jaipur is online on the GST portal, with no government fee. You apply with the company's PAN, directors' details, proof of the principal place of business and bank details. The GSTIN begins with 08, the state code for Rajasthan. Each registered person is allotted for administration either to the Rajasthan Commercial Taxes Department or to the Central GST authority; you do not choose which.
A company does not need GST just because it is incorporated. It needs GST Registration when turnover crosses the threshold, or when the law makes it compulsory regardless of turnover — relevant for Jaipur's many handicraft, textile and gem and jewellery traders, because most inter-state sales of goods require Registration from the first sale. Read Who must register for GST? for the full rules.
Do you need "Company Registration near me" in Jaipur?
Many founders search for Company Registration near me, expecting to visit an office. In reality, every step — name approval, Digital Signature Certificate (DSC), SPICe+, PAN, TAN and GST Registration — is done online. A founder living in Jodhpur, Delhi or abroad can register a Jaipur company without visiting Jaipur. Location matters for the registered office address, stamp duty and state rules, not for who files the forms.
SPICe+ must, however, be certified by a practising Chartered Accountant, Company Secretary or Cost Accountant. CA or CS: who does what for your company? explains how to check one.

- File Form INC-20A (commencement of business) within 180 days of incorporation.

Method: Deduplicated MCA Companies master, both Companies sheets; registration dates allocate financial years and validated CIN jurisdiction codes assign states/UTs. Percentages use all dated Companies assigned to that state/UT in the same period, including Other / Unclassified. Explicit activity codes are used where available, otherwise the CIN industry code is used. Legacy and newer activity divisions are mapped to common broad groups using each source workbook’s reporting period (newer Company classification from February 2023). Broad groups support comparison; they do not identify every specific service such as AI or digital marketing. These two tables use periods after the classification change. Unassigned locations are excluded rather than guessed. Figures checked on 19 October 2026.

Frequently asked questions
Which ROC handles a company registered in Jaipur?
ROC Jaipur is the Registrar of Companies for the whole of Rajasthan, so a company registered in Jaipur, Jodhpur, Udaipur, Kota or anywhere else in the state comes under it. ROC Jaipur was not split in the MCA's February 2026 reorganisation of offices. New incorporations are processed centrally by the Central Registration Centre, and ROC Jaipur supervises the company after that.
What is the stamp duty for company incorporation in Rajasthan?
According to the MCA's e-stamp duty schedule, Rajasthan charges ₹500 on the Memorandum of Association and 0.5% of authorised capital on the Articles of Association, plus ₹10 on the SPICe+ form. So ₹10 lakh of authorised capital means ₹5,000 of AOA duty. A later increase in authorised capital attracts 0.2% of the increase, up to ₹25 lakh. SPICe+ calculates the duty automatically.
Is professional tax applicable in Rajasthan?
No. Rajasthan does not levy professional tax, so a Jaipur company, its directors and its employees do not need professional tax enrolment, and employers do not deduct it from salaries. If the company opens a branch or employs staff in a state that levies professional tax, such as Maharashtra or Gujarat, that state's rules apply to the branch and its employees.
Is Shop and Establishment Registration compulsory in Rajasthan?
Not for small establishments. By a notification of 19 August 2025 under the Rajasthan Shops and Commercial Establishments Act, 1958, establishments employing up to 10 workers are exempt from Registration. An establishment with more than 10 workers registers online through the Rajasthan Labour Department. Exempt establishments must still follow the Act's other rules on wages, working hours and leave.
How much authorised capital should a Jaipur company start with?
There is no legal minimum, and because Rajasthan charges 0.5% of authorised capital as stamp duty on the Articles of Association, a higher figure costs more on day one: ₹1 lakh means ₹500 of AOA duty and ₹1 crore means ₹50,000. Many founders start with what they genuinely need and increase it later, when the increase attracts a lower stamp duty rate.
