Udyam (MSME) Registration for a company or LLP: who should get it and how

A company or LLP can get free Udyam (MSME) Registration online with its PAN and a signatory's Aadhaar. Since April 2025, micro means up to ₹2.5 crore investment and ₹10 crore turnover.
A Private Limited Company or LLP can get Udyam (MSME) Registration free of cost on the official Udyam Registration portal, using the Aadhaar of its authorised signatory and the entity's PAN, if its investment in plant, machinery or equipment and its turnover fall within the MSME limits. Since 1 April 2025 those limits are much higher, so most new companies and LLPs qualify as micro or small enterprises.
Udyam Registration is separate from Company Registration and from GST Registration. It is a free, self-declared Registration under the Micro, Small and Medium Enterprises Development Act, 2006 (MSMED Act), run by the Ministry of MSME. What is Udyam Registration?
Udyam Registration is the official way an enterprise is recognised as a micro, small or medium enterprise (MSME). On Registration, the portal issues a permanent Udyam Registration Number (URN) and an e-certificate. The details on investment and turnover are picked up from income tax and GST records using the entity's PAN and GSTIN, so there is no document upload.
It replaced the older Udyog Aadhaar Memorandum in July 2020. The portal states plainly that the Registration is free and that no private website is authorised to do MSME Registration — sites that charge a "Registration fee" for Udyam are charging for their own service, not a government fee.
What are the current MSME limits?
The government revised the classification by notification S.O. 1364(E) dated 21 March 2025, effective from 1 April 2025. An enterprise is classified on a composite test: it must be within both the investment limit and the turnover limit of a category.

Earlier limits (from 2020) were ₹1 crore and ₹5 crore for micro, ₹10 crore and ₹50 crore for small, and ₹50 crore and ₹250 crore for medium. Two points about the calculation:
- Export turnover is excluded when the turnover is calculated.
- Investment is taken from the income tax return of the previous year (written-down value of plant, machinery or equipment), not from the company's authorised or paid-up capital. Share capital alone does not decide the category.
If an enterprise crosses a limit, the portal re-classifies it based on its income tax and GST returns. A change of category generally takes effect from the end of the financial year rather than mid-year; check the portal for the exact transition rules that apply to your case.
Who should get Udyam Registration — company or LLP?
Udyam Registration is voluntary. It is open to every form of business — proprietorship, partnership firm, LLP, OPC, PVT. LTD., cooperative and others — engaged in manufacturing or services. Retail and wholesale traders can also register, but for traders it is meant for priority sector lending, not every MSME benefit.
It is usually worth getting if your company or LLP:
- Sells to large companies on credit and wants the protection of the MSMED Act's payment rules.
- Plans to bid for government tenders, where MSMEs may get exemptions or preferences under public procurement policy.
- Will borrow from banks, where MSME loans count as priority sector lending and some credit guarantee schemes apply.
- Wants to use central or state MSME schemes, subsidies or reimbursements that ask for a Udyam number.
A holding company with no business activity, or a startup that has not yet started trading, gains little immediately, though Registration costs nothing.
What does Udyam Registration actually do for you?
The most practical benefit is protection against late payment:
- 45-day rule. Under section 15 of the MSMED Act, a buyer must pay a micro or small supplier by the agreed date, which cannot be more than 45 days from acceptance; if no date is agreed, within 15 days.
- Interest on delay. Section 16 makes a late-paying buyer liable to compound interest at three times the bank rate notified by the RBI.
- Complaints. Delayed-payment claims can be filed online on the MSME Samadhaan portal and are taken up by the state's Micro and Small Enterprises Facilitation Council.
- Income tax effect on buyers. A rule introduced as section 43B(h) of the income tax law from the financial year 2023-24 lets a buyer deduct payments due to micro and small enterprises only when they are paid within the MSMED Act time limit. Because data is pulled from tax records, it helps if the income tax return and GST returns are up to date. A newly incorporated company that has not filed a return yet can still register by self-declaration; the figures are verified later from its returns.
How to apply for Udyam Registration: step by step
- Open udyamregistration.gov.in and choose the option for new entrepreneurs not yet registered as MSME.
- Enter the authorised signatory's Aadhaar number and name, and validate with the OTP.
- Select the type of organisation (Private Limited Company, LLP and so on) and enter the entity's PAN; the portal validates it.
- Fill the enterprise details: name, address, bank details, activity and NIC codes, employees, and investment and turnover where asked.
- Submit with the final OTP. The Udyam Registration Number is issued, and the e-certificate can be downloaded from the portal.
One enterprise gets one Udyam Registration. A company with several factories or offices, or several activities, adds them all to the same Registration rather than registering again. Details can be updated online later.
Common mistakes to avoid
- Paying a look-alike website for a "Udyam certificate" — the government Registration is free.
- Using a director's personal PAN instead of the company's or LLP's PAN.
- Choosing an activity code that does not match the actual business; it matters for schemes and lending.
