Company Registration in Lucknow: Documents, Fees and Local Rules

In short

Company Registration in Lucknow is fully online via SPICe+. The company comes under ROC Kanpur, pays a flat Uttar Pradesh stamp duty on its MOA and AOA and pays no professional tax.

Company Registration in Lucknow is done entirely online through the SPICe+ form on the Ministry of Corporate Affairs (MCA) portal; there is no office to visit. What makes Lucknow different is local: the company comes under ROC Kanpur, pays a small flat Uttar Pradesh stamp duty on its MOA and AOA, does not pay professional tax, and follows Uttar Pradesh rules such as the state's shops and establishments law.

This guide explains those local pieces in plain language. For the national process, start with the pillar guide How to Register a Company in India, then come back here for the Lucknow and Uttar Pradesh details. Rules and rates below are as of October 2026.

Private Limited Company Registration in Lucknow: documents and costs

Start with the proposed ownership, a genuine registered office address and a budget for incorporation and yearly compliance. For Lucknow, use the local ROC, stamp-duty and state-rule sections below alongside the national filing guides.

For another location, use the India city and state directory. For business activity figures, read the Uttar Pradesh Company Registration Trend; those figures describe the whole state/UT rather than individual cities.

Is Company Registration in Lucknow different from the rest of India?

The core process is the same everywhere in India. A Private Limited Company (PVT. LTD.), One Person Company (OPC) or Limited Liability Partnership (LLP) is registered under central law on the same MCA portal, using the same forms. The incorporation application itself is processed centrally by the Registrar of Companies at the Central Registration Centre (CRC), which issues the Certificate of Incorporation.

Three things do depend on your registered office being in Lucknow:

  • Which Registrar of Companies (ROC) supervises the company after incorporation.
  • Stamp duty on the Memorandum of Association (MOA) and Articles of Association (AOA), which is a state tax.
  • State and local Registrations, such as Shop and Establishment Registration and municipal licences.

The step-by-step lessons for each structure are in the PVT. LTD. Registration guide, the LLP Registration guide and the OPC Registration guide.

Which ROC covers a company registered in Lucknow?

The Registrar of Companies (ROC) is the MCA office that keeps a company's records, examines its filings and acts on defaults. Until early 2026, a single ROC at Kanpur covered the whole of Uttar Pradesh. By notification S.O. 4850(E) of 23 October 2025, the MCA created a second ROC at Noida, and the reorganised offices started work with effect from 16 February 2026 (PIB release). Uttar Pradesh now has two ROCs:

ROC Main area covered
ROC Kanpur (Uttar Pradesh-I) Central, eastern and most of north and south Uttar Pradesh — including Lucknow, Kanpur, Prayagraj, Varanasi, Gorakhpur, Ayodhya, Bareilly and Moradabad districts
ROC Noida (Uttar Pradesh-II) 17 western districts — Agra, Aligarh, Baghpat, Bulandshahr, Etah, Firozabad, Gautam Buddha Nagar, Ghaziabad, Hapur, Hathras, Kasganj, Mainpuri, Mathura, Meerut, Muzaffarnagar, Saharanpur and Shamli

So a company with its registered office in Hazratganj, Gomti Nagar or Aliganj comes under ROC Kanpur, even though the ROC office itself is in another city. Neighbouring districts such as Barabanki, Unnao, Sitapur and Raebareli are also under ROC Kanpur. The same reorganisation placed Uttar Pradesh under a new Regional Director, Northern Region-I, at New Delhi, who handles matters above the ROC's level.

One practical point: because Uttar Pradesh now has two ROCs, moving the registered office from Lucknow to, say, Noida is a move between ROC areas. It needs the Regional Director's confirmation, not just an address-change filing. District lists can be adjusted by later notifications, so confirm the current jurisdiction on the MCA portal.

How much is stamp duty on the MOA and AOA in Uttar Pradesh?

Stamp duty is a tax the state charges on legal documents. Uttar Pradesh charges a flat amount that does not depend on the company's capital. According to the MCA's e-stamp duty schedule, a company with share capital pays:

Document Uttar Pradesh stamp duty
SPICe+ incorporation form ₹10
Memorandum of Association (MOA) ₹500
Articles of Association (AOA) ₹500
Increase in authorised capital later (Form SH-7) Nil under the MCA schedule

So a Lucknow company pays about ₹1,010 in stamp duty whether its authorised capital is ₹1 lakh or ₹1 crore.

You do not have to buy stamp paper. SPICe+ computes the Uttar Pradesh stamp duty and you pay it online with the MCA fees. State rates can be revised, and SPICe+ applies the rate in force on the day you file. The guide to Registration cost and government fees lists every statutory cost.

What address can you use as a registered office in Lucknow?

Every company needs a registered office in India where it can receive official letters. In Lucknow this can be a rented or owned office, a home (yours or a family member's) or a co-working space, as long as you have proof of address, such as a recent electricity bill, and a no-objection certificate from the owner. There is no rule that the address must be commercial. Later Registrations such as GST may involve a check of the premises, so the address must be genuine. The lesson Registered office: which address can you use? covers this in detail.

What state Registrations does a Lucknow business need after incorporation?

Is there professional tax in Lucknow?

No. Professional tax is levied by individual states, and Uttar Pradesh does not levy it. A Lucknow company, its directors and its employees do not need professional tax enrolment, and salaries are paid without a professional tax deduction.

Shop and Establishment Registration

Offices and shops in Uttar Pradesh are covered by the Uttar Pradesh Dookan Aur Vanijya Adhishthan Adhiniyam, 1962 (the state's shops and commercial establishments law). An amendment in force from 19 November 2025 changed the Registration requirement so that it applies to establishments employing 20 or more workers, instead of practically all establishments as before. Registration is handled online through the Uttar Pradesh Labour Department. A smaller establishment should still check which other provisions of the law apply to it.

Other common ones

  • GST Registration, when turnover or the type of supply requires it (see below).
  • Trade licence or other permissions from the Lucknow Municipal Corporation (Nagar Nigam) for certain trades, and food licences for food businesses.
  • EPF and ESI Registration, central schemes that apply once employee numbers cross their thresholds.

How does GST Registration in Lucknow work?

GST Registration in Lucknow is online on the GST portal, with no government fee. You apply with the company's PAN, directors' details, proof of the principal place of business and bank details. The GSTIN begins with 09, the state code for Uttar Pradesh. Each registered person is allotted for administration either to the Uttar Pradesh State Tax Department or to the Central GST authority; you do not choose which.

A company does not need GST just because it is incorporated. It needs GST Registration when turnover crosses the threshold, or when the law makes it compulsory regardless of turnover, for example for most inter-state sales of goods. Read Who must register for GST? for the full rules.

Do you need "Company Registration near me" in Lucknow?

Many founders search for Company Registration near me, expecting to visit an office. In reality, every step — name approval, Digital Signature Certificate (DSC), SPICe+, PAN, TAN and GST Registration — is done online. Even though the jurisdictional ROC sits in Kanpur, nobody has to travel there to register a Lucknow company. Location matters for the registered office address, the ROC and state rules, not for who files the forms.

SPICe+ must, however, be certified by a practising Chartered Accountant, Company Secretary or Cost Accountant. CA or CS: who does what for your company? explains how to check one.

  3. Complete Shop and Establishment Registration if you have 20 or more workers, and any municipal licence your trade needs.

Method: Deduplicated MCA Companies master, both Companies sheets; registration dates allocate financial years and validated CIN jurisdiction codes assign states/UTs. Percentages use all dated Companies assigned to that state/UT in the same period, including Other / Unclassified. Explicit activity codes are used where available, otherwise the CIN industry code is used. Legacy and newer activity divisions are mapped to common broad groups using each source workbook’s reporting period (newer Company classification from February 2023). Broad groups support comparison; they do not identify every specific service such as AI or digital marketing. These two tables use periods after the classification change. Unassigned locations are excluded rather than guessed. Figures checked on 19 October 2026.

Frequently asked questions

Which ROC handles a company registered in Lucknow?

A company with its registered office in Lucknow comes under ROC Kanpur (Uttar Pradesh-I), which covers Lucknow and the central and eastern districts of Uttar Pradesh. Since 16 February 2026, 17 western districts, including Gautam Buddha Nagar and Ghaziabad, come under the new ROC Noida instead. New incorporations are processed centrally by the Central Registration Centre, and the jurisdictional ROC supervises the company after that.

What is the stamp duty for company incorporation in Uttar Pradesh?

According to the MCA's e-stamp duty schedule, Uttar Pradesh charges a flat ₹500 on the Memorandum of Association and ₹500 on the Articles of Association for a company with share capital, plus ₹10 on the SPICe+ form. The amount does not depend on authorised capital. SPICe+ calculates it automatically, and you pay it online with the MCA fees, so no physical stamp paper is needed.

Is professional tax applicable in Uttar Pradesh?

No. Uttar Pradesh does not levy professional tax, so a company in Lucknow, its directors and its employees do not need professional tax enrolment, and employers do not deduct it from salaries. If the same company opens a branch or employs staff in a state that levies professional tax, such as Maharashtra or Karnataka, that state's rules apply to the branch.

Is Shop and Establishment Registration compulsory in Uttar Pradesh?

Under the Uttar Pradesh Dookan Aur Vanijya Adhishthan Adhiniyam, 1962, as amended with effect from 19 November 2025, Registration is required for establishments employing 20 or more workers. Earlier it applied to practically all establishments. Registration is online through the Uttar Pradesh Labour Department. Smaller establishments should still check which other provisions of the law apply to them.

Do I need to visit Kanpur to register a company in Lucknow?

No. Company Registration is completed online on the MCA portal through SPICe+, using Digital Signature Certificates, and nobody visits the ROC office in Kanpur. You need a genuine registered office address in Lucknow with proof such as an electricity bill and the owner's no-objection certificate, and a practising CA, CS or Cost Accountant must certify the form before it is filed.
