Company Registration vs GST Registration: are they the same, and do you need both?
In short
No. Company Registration creates the company under the Companies Act; GST Registration only registers a business for GST. A company needs GST only above the turnover threshold or in compulsory cases.
No, Company Registration and GST Registration are not the same. Company Registration creates the business as a legal person under the Companies Act, 2013, while GST Registration only lets an existing business collect and pay Goods and Services Tax. Every company must be registered with the Ministry of Corporate Affairs (MCA), but it needs GST Registration only when its turnover crosses the threshold or the law makes GST compulsory for its type of business.
The two are often mixed up because the incorporation form offers an option to apply for GST at the same time, and because many founders hear "Registration" and assume it is one process. This lesson explains what each Registration does, who grants it, when you need both, and when a company can lawfully run without GST. Rules are as of October 2026; check mca.gov.in and gst.gov.in before acting, because procedures change.
What is the difference between Company Registration and GST Registration?
Company Registration (also called incorporation) is the act that brings a company into existence. The Registrar of Companies (ROC), part of the MCA, issues a Certificate of Incorporation with a Corporate Identity Number (CIN). From that day the company can own property, sign contracts, open a bank account and be sued in its own name.
GST Registration is a tax Registration. It is granted by the GST department of the state (and the Centre) through the GST portal, and it gives the business a 15-character GST Identification Number (GSTIN). A GSTIN lets the business charge GST on its invoices, claim input tax credit on its purchases and file GST returns. It does not create the business; it assumes the business already exists.
| Point | Company Registration | GST Registration |
|---|---|---|
| Law | Companies Act, 2013 | CGST Act, 2017 and the state GST Acts |
| Who grants it | Registrar of Companies (MCA), through the Central Registration Centre | GST officer of the state or Centre, through the GST portal |
| Form | SPICe+ (with e-MoA and e-AoA) | GST REG-01 |
| Number you get | CIN, plus the company's PAN and TAN | GSTIN (one per state where you are registered) |
| Certificate | Certificate of Incorporation | GST REG-06 |
| Is it compulsory? | Yes, to form a company at all | Only above the threshold or in compulsory cases |
| Government fee | MCA fees (nil up to ₹15 lakh authorised capital) plus state stamp duty | No government fee |
| Scope | One Registration for the whole of India | Separate Registration for each state where you supply from |
Does Company Registration include GST Registration?
Not automatically. When a Private Limited Company (PVT. LTD.), One Person Company or other company is incorporated through SPICe+, the linked form AGILE-PRO-S lets the founders apply for several Registrations together: EPFO, ESIC, profession tax in some states, a bank account and, optionally, a GSTIN. Only the GST part is optional. If you tick it and give the details, the GST application is sent to the GST system along with incorporation; if you leave it out, the company is incorporated without a GSTIN.
Even when you apply through AGILE-PRO-S, the GSTIN is decided by the GST department under GST rules, not by the ROC. So the honest way to think about it is: one filing, two separate decisions by two separate authorities.
When does a company need GST Registration?
A company needs GST Registration in two situations: when its aggregate turnover crosses the threshold, or when the law makes Registration compulsory whatever the turnover.
Turnover thresholds
| Type of supply | Most states | Special category states |
|---|---|---|
| Only goods | ₹40 lakh a year | ₹20 lakh, or ₹10 lakh in Manipur, Mizoram, Nagaland and Tripura |
| Services, or goods and services | ₹20 lakh a year | ₹10 lakh in the special category states |
The ₹40 lakh limit for goods depends on the state having adopted it, and it does not apply to certain notified goods. "Aggregate turnover" counts all supplies made under the same PAN across India, including exempt supplies and exports.
Compulsory Registration regardless of turnover
- Inter-state supply of goods (selling goods to a buyer in another state).
- Selling goods through an e-commerce platform that collects tax at source, subject to the limited exemptions notified for small sellers.
- Being liable to pay tax under reverse charge.
- Acting as a casual taxable person or an input service distributor.
- Making supplies on behalf of other registered persons as an agent.
Small service providers who supply services to other states are generally exempt from compulsory Registration while under the turnover threshold. The full list is in section 24 of the CGST Act; the lesson Who must register for GST? walks through each case.
Can I register a company without GST?
Yes. Company Registration without GST is common and perfectly legal. Many new companies spend their first months building a product, hiring or raising money and have little or no turnover. A consultancy company billing ₹8 lakh a year to Indian clients in one state, for example, does not have to register for GST.
A company without GST simply cannot charge GST on its invoices and cannot claim input tax credit on GST paid on its purchases. Once it crosses the threshold or starts a compulsory activity, it must apply within 30 days. Two practical points:
- Some business clients, marketplaces and government tenders insist on a GSTIN, so you may choose voluntary GST Registration earlier.
- A voluntarily registered business must file returns and follow all GST rules, even in months with no sales.
Do you need both? A quick checklist
| Your situation | Company Registration | GST Registration |
|---|---|---|
| You want limited liability, equity or investors | Needed | Depends on turnover and activity |
| Proprietor selling goods locally below ₹40 lakh | Not needed | Not needed (unless compulsory) |
| Proprietor or firm above the threshold | Not needed | Needed |
| Company selling goods to other states | Already done | Needed from the first sale |
| Company, services in one state, below ₹20 lakh | Already done | Optional |
The point to notice is that GST Registration does not need a company. A proprietorship, partnership firm or LLP can also hold a GSTIN, because GST Registration is based on PAN, not on business structure. And a company does not need GST just because it is a company.
Which comes first, and what documents does each need?
For a company, Company Registration always comes first, because GST Registration of a company is made in the company's own PAN, which is issued only on incorporation. The order usually looks like this:
- Get Digital Signature Certificates for the proposed directors.
- Reserve the name and file SPICe+ with the e-MoA and e-AoA.
- Receive the Certificate of Incorporation, CIN, PAN and TAN.
- Open the bank account through AGILE-PRO-S or separately.
- Apply for GST Registration on the portal when it is needed, using the company's PAN, incorporation certificate, board resolution for the authorised signatory, office address proof and bank details.
The step-by-step path for each is in the pillar guide How to register a company in India and in the GST Registration Documents and Eligibility: Complete Checklist. Common misunderstandings
- "My GST certificate is my company certificate." No. The GST certificate only proves tax Registration. Legal existence is proved by the Certificate of Incorporation — see what a Certificate of Incorporation contains.
- "GST Registration makes my business a company." No. A proprietor with a GSTIN is still a proprietor, with unlimited personal liability.
- "If I close GST, the company closes." No. Cancelling GST Registration does not close the company; the company still files its ROC and income tax returns until it is formally struck off or wound up.
- "One GSTIN covers all of India." No. A company that supplies from offices in two states needs a GSTIN in each, while its CIN stays the same.

- The ROC (MCA) grants Company Registration; the GST department grants a GSTIN.
- GSTIN is optional in AGILE-PRO-S at incorporation, so a company can be registered without GST.
- A company needs GST once it crosses ₹40 lakh (goods) or ₹20 lakh (services) in most states, or earlier in compulsory cases such as inter-state sale of goods.
- GST Registration has no government fee and is done state-wise using the company's PAN.

Frequently asked questions
Is Company Registration and GST Registration the same?
No. Company Registration (incorporation) is done with the Registrar of Companies under the Companies Act, 2013 and creates the company as a legal person with a CIN. GST Registration is done on the GST portal under the CGST Act, 2017 and gives an existing business a GSTIN so it can charge GST and claim input tax credit. A company can exist without GST, and a proprietor can have GST without being a company.
Can I register a company without GST?
Yes. GST Registration is optional at incorporation in the AGILE-PRO-S form, so a company can be incorporated without a GSTIN. It must apply for GST within 30 days of crossing the turnover threshold, generally ₹40 lakh for goods and ₹20 lakh for services in most states, or earlier if it starts an activity where GST is compulsory, such as selling goods to another state.
Does a new Private Limited Company automatically get a GST number?
No. On incorporation the company receives its Certificate of Incorporation, CIN, PAN and TAN. A GSTIN is issued only if the founders apply for it, either by choosing GST in AGILE-PRO-S during SPICe+ filing or by applying separately on the GST portal later. In both cases the GST department, not the Registrar of Companies, decides the GST application.
Which comes first, company incorporation or GST Registration?
For a company, incorporation comes first. GST Registration is made in the PAN of the business, and a company's PAN is issued only when it is incorporated. So the usual order is DSCs, name approval and SPICe+ filing, then the Certificate of Incorporation with PAN and TAN, then a bank account, and then GST Registration when the business needs it.
Is there a government fee for GST Registration of a company?
No. The government charges no fee for GST Registration, whether the applicant is a company, LLP, firm or proprietor. The company may need a Digital Signature Certificate for its authorised signatory, address proof for its place of business and a board resolution. Any amount paid beyond that is for professional help or documents, not to the government.
