Online Company Registration in India: the official MCA portal, paperless and remote process
In short
Online Company Registration in India happens only on the official MCA portal through SPICe+. It is paperless and remote, and the Registrar of Companies grants it, not any provider.
Online Company Registration in India is done on one official portal — the Ministry of Corporate Affairs (MCA) website, mca.gov.in — using the SPICe+ form, and the Certificate of Incorporation is issued by the Registrar of Companies. The process is fully paperless and remote: founders sign with Digital Signature Certificates, documents are uploaded as scans, fees are paid online, and no one has to visit a government office.
This post explains what the official portal is, why no private website or provider can be "government approved" to register companies, how the remote process works from start to finish, and where LLPs fit in. For the full filing walkthrough, read our Private Limited Company Registration step-by-step guide.
What is the official Online Company Registration portal in India?
The only official Online Company Registration portal in India is the MCA portal, run by the Ministry of Corporate Affairs. It now runs on the MCA21 V3 system, where companies and LLPs are registered and where every later filing, from annual returns to director changes, is made. Founders or their professionals create a user account on the portal, fill the web forms, attach documents and pay fees online.
Other websites you see in search results — including learning sites like this one — are not the government. Some are guides; others are businesses that prepare and file forms for you on the same MCA portal. Their work may be useful, but the Registration always happens on mca.gov.in.
Who grants Official Company Registration?
Under the Companies Act, 2013, a company comes into existence when the Registrar of Companies (ROC) registers it and issues a Certificate of Incorporation with a Corporate Identity Number (CIN). For new companies filed through SPICe+, the application is examined by the MCA's Central Registration Centre (CRC) on the Registrar's behalf. For an LLP, the Registrar issues a Certificate of Incorporation with an LLP Identification Number (LLPIN).
That means every Official LLP Registration and every Official Company Registration is granted by the government, not by whoever filed the form. A phrase like "Government Approved Company Registration" is therefore misleading if it suggests that a private provider holds some special government approval. What a provider can honestly say is that it files on the official portal and that its professional (an advocate, or a Chartered Accountant, Company Secretary or Cost Accountant in practice) gives the declaration the law requires. You can verify any company or LLP yourself using the free "Master Data" search on the MCA portal.
How does paperless Company Registration work?
Paperless Company Registration rests on four building blocks:
- Digital Signature Certificate (DSC) — a Class 3 electronic signature on a USB token, issued online by licensed certifying authorities after eKYC and video verification. Every proposed director and subscriber signs with one.
- Scanned documents — identity proofs, address proofs, photos and registered office proof are uploaded as PDFs.
- e-MoA and e-AoA — the Memorandum and Articles of Association are filed as web forms (INC-33 and INC-34) and signed digitally, not printed and signed by hand.
- Online payment and e-stamping — MCA fees and state stamp duty are paid online, and an e-stamp certificate is generated.
The Certificate of Incorporation, company PAN and TAN arrive by email and are available on the portal. There is no physical certificate to collect.
Can Company Registration be done remotely?
Yes. Remote Company Registration is the normal way now. Founders in different cities, or abroad, can each obtain a DSC online, scan their documents and sign forms from wherever they are. The only physical element is the registered office: the company must have an address in India, and proof of that address (a recent utility bill and, if it is not owned by the company, a no-objection letter from the owner) is uploaded.
Foreign national and NRI founders can also take part remotely, though their documents usually need notarisation or apostille in their country of residence, and at least one director must be resident in India. Our NRI and foreign national guide covers this.
How does Company Registration with name approval and DSC work online?
Here is the online flow in brief. The step-by-step guide explains each step in detail.
- Get DSCs for all proposed directors and subscribers.
- Apply for the name — either through RUN (Reserve Unique Name; ₹1,000 fee; an approved name is held for 20 days) or directly in SPICe+ Part A at no separate fee.
- Fill SPICe+ Part B — directors, shareholding, capital, registered office, and DIN applications for up to three new directors.
- Fill the linked forms — e-MoA (INC-33), e-AoA (INC-34) and AGILE-PRO-S, which handles EPFO and ESIC Registration, opening a bank account, and optionally GST Registration.
- Sign and submit with DSCs, after the professional's declaration and certification, and pay fees and stamp duty online.
- Receive the Certificate of Incorporation with CIN, PAN and TAN, once the CRC approves.
| What you need | Online or physical? |
|---|---|
| DSC | Online issue; USB token delivered or collected |
| Identity and address proofs of founders | Scanned upload |
| Registered office proof and NOC | Scanned upload |
| MoA and AoA | Web forms, signed with DSC |
| Fees and stamp duty | Online payment and e-stamping |
How does Online LLP Registration work?
Online LLP Registration also happens on the MCA portal. Designated partners get DSCs, the name is reserved through RUN-LLP (or within the incorporation form), and the incorporation form FiLLiP is filed. After the certificate is issued, the LLP agreement — the one document that is executed on stamp paper under state law — is filed online in Form 3 within 30 days. See LLP Registration process and cost and the LLP lessons.
Is online Registration really hassle-free?
The online system removed queues and paperwork, but "Hassle-Free Company Registration" depends mostly on preparation. The MCA portal checks data strictly: a mismatch between the name on PAN and Aadhaar, an old utility bill, or a name that clashes with an existing company will lead to a resubmission. The things that genuinely make it smooth are:
- choosing the right structure first — the Before you register lessons help;
- checking names on the MCA and trademark search before applying;
- having every founder's details match across documents;
- using founders' own email IDs and mobile numbers, so OTPs and notices reach them.

Frequently asked questions
Which is the official website for Company Registration in India?
The official website is the Ministry of Corporate Affairs portal, mca.gov.in, which runs on the MCA21 V3 system. Companies are registered there through the SPICe+ form and LLPs through FiLLiP. Other websites are either guides or businesses that file forms on the MCA portal for clients. The Certificate of Incorporation is always issued by the Registrar of Companies through this portal.
Is any private company government approved for Company Registration?
No. Company Registration is granted by the Registrar of Companies under the Ministry of Corporate Affairs, with SPICe+ applications examined by the Central Registration Centre. No private provider is approved to grant Registration. Providers can only prepare and file forms on the official portal, and their professional gives the declaration required by law. Anyone can verify a registered company free on the MCA portal's master data search.
Can I register a company in India without visiting any office?
Yes. Company Registration is fully online and remote. Founders obtain Digital Signature Certificates online, upload scanned identity, address and office documents, sign the SPICe+ form and e-MoA and e-AoA digitally, and pay fees and stamp duty online. The Certificate of Incorporation, PAN and TAN arrive by email. The company still needs a registered office address in India.
Can founders living abroad register a company in India online?
Yes. Founders living abroad can take part online by obtaining Digital Signature Certificates and uploading their documents, which usually need notarisation or apostille in the country of residence. At least one director must be resident in India, having stayed in India for at least 182 days during the financial year, and the company must have a registered office address in India.
