LLP Registration in Pune: ROC Pune, Stamp Duty and Documents
On this page
In short
LLP Registration in Pune is fully online via FiLLiP. An LLP with its registered office in Pune district, including Pimpri-Chinchwad, comes under ROC Pune and pays Maharashtra stamp duty on its LLP Agreement.
LLP Registration in Pune is done entirely online through the FiLLiP form on the Ministry of Corporate Affairs (MCA) portal; there is no office to visit. What makes Pune different is local: the LLP comes under ROC Pune, pays Maharashtra stamp duty on its LLP Agreement, and has Maharashtra rules to follow after incorporation, such as professional tax and the Shops and Establishments Act.
Pune is Maharashtra's second business centre after Mumbai, with IT services, manufacturing, education and professional firms spread across Pune city, Pimpri-Chinchwad and the MIDC industrial belts. This guide explains the local pieces in plain language. For the national process itself, read LLP Registration in India: step-by-step guide first. Rules and rates below are as of November 2026.
LLP Registration in Pune at a glance
- Where you apply: online, through RUN-LLP (name) and FiLLiP (incorporation) on the MCA portal. There is no office to visit.
- Who approves it: the Central Registration Centre (CRC), for LLPs across India.
- Your ROC after incorporation: ROC Pune, for Pune city, Pimpri-Chinchwad and the rest of Pune district.
- Partners: at least two designated partners who are individuals, with at least one resident in India.
- Maharashtra stamp duty: on the LLP Agreement, 1% of the partners' contribution (minimum ₹500, maximum ₹50,000).
- After incorporation: LLP Agreement in Form 3 within 30 days, Maharashtra professional tax, Shops and Establishments rules, and GST when required.
Which ROC covers your LLP in Pune?
The ROC depends on the district of the LLP's registered office, not where the partners live. Every part of Pune district comes under the same ROC; what changes from area to area is the local body that handles property records and trade permissions.
| Registered office in | Local body | ROC |
|---|---|---|
| Kothrud, Shivajinagar, Deccan, Aundh, Baner, Balewadi | Pune Municipal Corporation (PMC) | ROC Pune |
| Kharadi, Viman Nagar, Kalyani Nagar, Hadapsar, Magarpatta, Wagholi | Pune Municipal Corporation (PMC) | ROC Pune |
| Wakad, Pimple Saudagar, Pimpri, Chinchwad, Bhosari, Nigdi | Pimpri-Chinchwad Municipal Corporation (PCMC) | ROC Pune |
| Hinjewadi, Chakan, Talegaon, Ranjangaon | MIDC industrial areas and local councils | ROC Pune |
| Pune Camp, Khadki | Cantonment Boards | ROC Pune |
ROC Pune continued after the MCA's reorganisation of ROC offices took effect on 16 February 2026 (PIB release). Maharashtra now has four ROCs: Mumbai-I, Mumbai-II (Navi Mumbai), Pune and Nagpur. LLPs follow the same jurisdiction as companies. Always confirm the current jurisdiction on the MCA portal.
LLP Registration in Pune: documents, fees and online steps

LLP or PVT. LTD. Company in Pune?
Pune has a large share of IT services, consulting and engineering firms run by two or more professionals, which is where an LLP often fits: limited liability, a written agreement on profit sharing and lighter compliance. A Private Limited Company in Pune suits founders who plan to issue shares, bring in investors or offer ESOPs. Read PVT. LTD. vs LLP: tax, compliance, funding and founder scenarios and When an LLP is the wrong choice before you decide.
Is LLP Registration in Pune different from the rest of India?
The core process is the same across India. An LLP is registered under the Limited Liability Partnership Act, 2008, a central law, on the same MCA portal, using the same forms. The incorporation application is processed centrally at the Central Registration Centre (CRC), which issues the Certificate of Incorporation for LLPs across the country.
Three things do depend on your registered office being in Pune:
- Which Registrar of Companies (ROC) supervises the LLP after incorporation: ROC Pune.
- Stamp duty on the LLP Agreement, which is a state tax.
- State and local Registrations such as professional tax, Shop and Establishment Registration and permissions from PMC or PCMC for certain activities.
How much is stamp duty on an LLP Agreement in Maharashtra?
Under Article 47 of the Maharashtra Stamp Act, 1958, which covers partnerships including Limited Liability Partnerships, the LLP Agreement attracts stamp duty based on the partners' contribution brought in as cash:
| Total contribution in cash | Stamp duty |
|---|---|
| Up to ₹50,000 | ₹500 |
| Above ₹50,000 | 1% of the contribution, maximum ₹50,000 |
So an LLP with ₹1 lakh contribution pays ₹1,000, and one with ₹10 lakh pays ₹10,000. The rate is the same in Pune as in Mumbai and the rest of Maharashtra. Contribution brought in as property (rather than cash) can attract a different, conveyance-style duty.
- Unlike a company's MOA and AOA, the LLP Agreement is not stamped inside FiLLiP. It is executed after incorporation, on correctly stamped Maharashtra e-stamp paper (or with duty paid through the state's e-payment system), and then filed in Form 3.
- A later increase in contribution or a change in partners usually needs a supplementary agreement, which carries its own stamp duty. Read Capital contribution in an LLP.
When must the LLP Agreement be filed?
The LLP Agreement must be filed with the ROC in Form 3 within 30 days of incorporation. Since 1 April 2022, late filing attracts an additional fee that is a multiple of the normal Form 3 fee and rises with the length of the delay. If no agreement is filed, the default provisions in the First Schedule to the LLP Act apply to the partners.
What address can you use as an LLP's registered office in Pune?
Every LLP needs a registered office in India where it can receive official letters. In Pune this can be a rented or owned commercial office, a residential flat (your own or a family member's) or a co-working space in areas such as Baner, Kharadi or Hinjewadi, as long as you have proof of address, such as a recent electricity bill, and a no-objection certificate from the owner. Some housing societies object to business use, and GST Registration may involve a physical check of the premises. Read Registered office: which address can you use?
For a workshop or factory in an MIDC area such as Chakan, Bhosari, Talegaon or Ranjangaon, industrial plots, factory licences and pollution consents involve their own permissions. An office-based professional LLP usually needs none of these. One practical point: moving the registered office from Pune to Mumbai changes the supervising ROC, so plan the address carefully at the start.
What state Registrations does a Pune LLP need after incorporation?
Maharashtra professional tax
Professional tax is a state tax administered in Maharashtra through mahagst.gov.in. An LLP, like a company, generally needs a PTEC (Enrolment Certificate) with a fixed yearly payment, and a PTRC (Registration Certificate) once it pays salaries. Slabs, due dates and who must enrol are set by the state and do change, so check the current schedule on the MahaGST site.
Shop and Establishment Registration
Offices and shops in Maharashtra are covered by the Maharashtra Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2017. Broadly, an establishment with 10 or more workers must obtain a Registration certificate, while a smaller one files an online intimation instead.
GST Registration and local permissions
An LLP does not need GST just because it is incorporated. It needs GST Registration when its turnover crosses the threshold, or when the law makes it compulsory regardless of turnover. The application is online on the GST portal with no government fee, and a Maharashtra GSTIN begins with 27. Read Who must register for GST? Certain activities, such as food businesses, may also need a trade licence or other permission from PMC or PCMC.
Do you need "LLP Registration Near Me" in Pune?
Many partners search for LLP Registration near me, expecting to visit an office. In reality, every step — name reservation, DSC, DPIN, FiLLiP, PAN, TAN and Form 3 — is done online. Partners can register a Pune LLP from home without meeting anyone in person. Location matters for the registered office address, stamp duty and state rules, not for who files the forms.
FiLLiP must be certified by a practising professional — a Chartered Accountant, Company Secretary or Cost Accountant. Check their membership on the official institute website and understand exactly what they will file. Read CA or CS: who does what for your company?
