Private Limited Company · Chapter 4
Digital Signature Certificate (DSC)
In short
A Digital Signature Certificate (DSC) is an electronic signature, issued by a licensed Certifying Authority, used by directors and subscribers to sign MCA, income tax and GST filings.
A Digital Signature Certificate (DSC) is an electronic signature, issued by a licensed Certifying Authority, that proves who is signing an online form. Every director and subscriber (first shareholder) needs one for Private Limited Company Registration, and the same DSC is used later for MCA, income tax and GST filings.
Almost everything with the Ministry of Corporate Affairs is filed online and signed digitally. The DSC is that signature.
What is a Digital Signature Certificate?
A DSC is an electronic certificate, usually stored on a USB token, that proves the identity of the person signing an online form. It is the legal equivalent of a handwritten signature under the Information Technology Act, 2000. It is issued by Certifying Authorities licensed by the Controller of Certifying Authorities (CCA) after verifying your identity — normally through Aadhaar-based or PAN-based verification, a mobile OTP and a short video.
For MCA, income tax and GST work, individuals use a Class 3 DSC, which is the class currently issued in India.
Who needs a DSC for company Registration?
- Every proposed director who signs the incorporation form.
- Every subscriber (first shareholder) signing the MoA and AoA online.
- The professional (Chartered Accountant, Company Secretary or Cost Accountant) who certifies the SPICe+ form.
- Later, the directors who sign annual filings and other forms.
How do you get a DSC?
- Choose a licensed Certifying Authority or its authorised agent.
- Fill in the application with your name exactly as on PAN.
- Complete identity verification — Aadhaar eKYC or PAN-based, with OTP and a short video.
- Receive the DSC, usually on a USB token, and set a PIN.
- Register the DSC on the MCA portal (and on the income tax and GST portals when needed).
NRI and foreign applicants usually provide a passport and address proof, often attested, so their DSC can take longer.
How long is a DSC valid?
- A DSC is usually issued for one to three years and must be renewed with fresh verification.
- Keep the token and PIN safe. Anyone with both can sign in your name.
- The same DSC is also used on the income tax and GST portals.
DSC, DIN and PAN: what is the difference?
| Item | What it is | Validity |
|---|---|---|
| DSC | Your electronic signature | 1–3 years, then renewed |
| DIN | Your identity number as a director | For life |
| PAN | Your tax identity number | For life |
Does a DSC belong to you or to the company?
To you. A DSC belongs to the individual, not to the company, so a director can use the same DSC to sign forms for every company or LLP where they are a director or designated partner, and for their own income tax filings, as long as it is valid and registered on each portal. When a person resigns as a director, the DSC stays theirs.
What are the common DSC problems?
- The name on the DSC must match the name on PAN.
- An expired DSC is the most common reason a filing fails on the last day.
- A DSC that is not registered (or re-registered after renewal) on the MCA portal cannot sign forms.
- Token drivers and signing utilities must be installed on the computer used for filing.
Key takeaways
- A DSC is your online signature for MCA, tax and GST filings.
- Every signing director and subscriber needs one.
- Track the expiry date — renew before important deadlines.
Frequently asked questions
Which class of DSC is needed for MCA filings?
When a Digital Signature Certificate is used for MCA, income tax or GST filings, it must be a Class 3 DSC, which is the class currently issued by licensed Certifying Authorities in India after identity verification. An individual DSC is enough for signing company forms. Organisations that bid on e-tenders may also need a DSC with encryption, which is a separate certificate issued on the same token.
How long does it take to get a DSC?
Once the applicant completes identity verification, usually through Aadhaar-based eKYC or PAN-based verification along with a short video and mobile OTP, a DSC is often issued within a day. Delays usually come from name mismatches between PAN and Aadhaar, unclear video verification, or missing documents for NRI and foreign applicants.
Can one DSC be used for more than one company?
Yes. A Digital Signature Certificate belongs to the individual, not to a company. The same DSC can be used by a director to sign forms for every company or LLP in which they are a director or designated partner, and also for their personal income tax filings, as long as it is valid and registered on the relevant portal.
Is a DSC required for GST Registration of a company?
Yes. A company or LLP must sign its GST Registration application and later GST returns using the Digital Signature Certificate of an authorised signatory. Proprietors and some other taxpayers can use an electronic verification code (EVC) sent to their Aadhaar-linked mobile number instead, but companies and LLPs are required to use a DSC.
What happens when a DSC expires?
An expired Digital Signature Certificate cannot be used to sign any form. The person must apply for a new DSC with fresh verification and then register the new certificate again on the MCA, income tax and GST portals. Because this can take a day or more, it is safest to renew a DSC well before any filing deadline.
