Pvt Ltd vs LLP in India: What 10 Years of MCA Data Shows
In short
Pvt Ltd vs LLP using 10 years of MCA incorporation data: how Private Limited Company Registration and LLP Registration changed, and which industries show stronger LLP presence.
Pvt Ltd vs LLP is usually discussed as a legal comparison. MCA incorporation data shows that it is also an industry-behaviour question.
Registration Trend analysed the long-term Company Registration and LLP Registration dataset to examine how the balance between Private Limited Companies and LLPs has changed and how that balance differs by business activity.
Pvt Ltd vs LLP: The Long-Term Shift
In FY 2016-17, India recorded 90,855 Private Limited Companies and 29,407 LLPs in the analysed data. By FY 2025-26, the figures had increased to 2,30,548 Private Limited Companies and 95,965 LLPs.
Private Limited Company registrations grew strongly, but LLP registrations grew even faster. LLP therefore became a larger part of India's formal business-formation mix over the decade.

Real Estate is the clearest example. In the full harmonised activity dataset, there were 60,737 Private Limited Companies and 55,957 LLPs in Real Estate, giving LLP an approximately (48.0%) share when only these two structures are compared.
IT/Software/Information activity looks very different: 2,16,898 Private Limited Companies versus 51,498 LLPs, an LLP share of only about (19.2%) in the Pvt Ltd + LLP comparison.
Why This Matters
The data suggests that businesses do not choose between Private Limited Company Registration and LLP Registration randomly. Capital requirements, investor expectations, ownership structure, project economics, profit distribution, regulation and industry practice can all influence the choice.
The data alone does not tell us why every individual business chose one structure. It does, however, show that legal-structure preference differs systematically across activities, which is more useful than treating Pvt Ltd vs LLP as a one-size-fits-all question.
Private Limited Company Registration Remains Dominant
Private Limited Companies remain the largest structure in the overall dataset. Their scale increased substantially over the decade and they are especially prominent in IT, software and other growth-oriented service activities.
LLP Registration Has Become Mainstream
LLP is no longer a marginal alternative. Its growth, its rising share of overall registrations and its strong presence in Real Estate, hospitality, construction and professional/business activities make it a major part of India's business-formation story.
