Company or LLP Registration for ₹999 or ₹9,999? Understand the Full Cost First
In short
First-time founder? Look beyond ₹999 or ₹9,999 company and LLP registration offers. Verify your consultant and understand post-registration and annual compliance costs.
Do not choose company registration or LLP registration by looking at the introductory price alone—especially if you’re a first-time founder. Understand what the package includes, who is advising you and what maintaining the entity will cost after registration.
A registration certificate creates a legal structure. It does not tell you whether that structure suits your business or your budget.
What does the registration offer include?
An advertised ₹999 or ₹9,999 price may cover only part of the process. Ask for a written quotation showing government fees, stamp duty, Digital Signature Certificates, professional fees and incorporation documents. For an LLP, check whether preparing and filing the LLP Agreement is included.
Clarify whether GST registration, Udyam registration, accounting and annual compliance are included, optional or charged separately. Your business may not need every registration offered in a package.
Who is advising you—a qualified professional or a salesperson?
Verify the consultant’s background before paying. Ask who will assess your business structure, explain your obligations and handle the professional work.
If someone claims to be a practising Chartered Accountant or Company Secretary, verify their membership and Certificate of Practice through the relevant professional institute. When dealing with a platform or agency, ask for the name and credentials of the professional responsible for your matter.
A salesperson can explain a package, but that does not establish professional qualifications. Obtain the adviser’s credentials, written scope of work and details of post-registration support.
What will you pay after registration?
Registration cost and annual compliance cost are two different budgets.
| Cost to understand | Questions to ask |
|---|---|
| Initial registration | What is included, excluded and payable separately? |
| Post-registration work | Which obligations apply, who handles them and by when? |
| Accounting and tax | What are the bookkeeping and tax-return charges? |
| Annual compliance | What are the yearly filing, professional and applicable audit costs? |
| Changes or closure | What happens if a founder leaves or the business stops? |
Ask for an estimate covering the first year and subsequent years, with its assumptions clearly stated.
What if your business has no sales?
No sales does not automatically mean no compliance.
Companies have annual-return and financial-statement filing obligations. LLPs also have annual-return and accounts-related obligations. Their requirements differ, and company and LLP audit rules are not the same. See the official Companies Act, 2013 and LLP Act, 2008.
Before registering a Private Limited Company, OPC or LLP, ask: “What must we still do if we have no revenue, no employees or decide to pause the business?”
Can a low-cost registration become expensive?
Yes, if continuing obligations are overlooked.
Missing required filings can result in additional fees and statutory penalties. Depending on the default, duration and applicable provisions, exposure can reach lakhs. This results from non-compliance, rather than the registration price itself.
A ₹9,999 registration quotation tells you little about the total cost of maintaining the entity.
Choose your structure before choosing the package
Consider your number of owners, liability, funding plans and ability to meet recurring obligations. Compare Business Structures in India: Proprietorship, Partnership, LLP, PVT LTD and OPC before deciding.
Especially if you’re a first-time founder, look beyond ₹999 or ₹9,999. Verify your adviser, understand the package and obtain a post-registration and annual compliance budget. The registration certificate is the starting line—not the finish line.
