Company, LLP and GST Registration packages and pricing: what is included and what to check
In short
Registration packages bundle government fees, DSCs and professional work. Check the written scope, exclusions, who certifies the forms, who holds your DSC and what compliance follows.
Company, LLP and GST Registration packages bundle government fees, third-party costs and professional work into one price, so two packages with the same headline price can include very different things. Before choosing one, get the scope in writing, check whether government fees and Digital Signature Certificates are included, confirm who will hold your DSC and portal logins, and ask what happens after Registration.
This post does not recommend any provider and quotes no provider prices. It explains how Company Registration packages and pricing are usually built, what different kinds of professionals do, and the checks that protect you. The ideas apply equally to LLP Registration packages and pricing and to GST Registration packages and pricing.
What does a Registration package usually include?
A package is a bundle. It helps to split it back into its parts:
| Component | Company (PVT. LTD. / OPC) | LLP | GST |
|---|---|---|---|
| Government fee | SPICe+ fee (nil up to ₹15 lakh authorised capital), stamp duty, PAN/TAN charges | RUN-LLP and FiLLiP fees, Form 3 fee, stamp duty on the LLP agreement | No government fee for GST Registration |
| Third-party cost | DSC for each director and subscriber | DSC for each designated partner | Usually none; Aadhaar authentication is free |
| Professional work | Name check, MoA and AoA drafting, SPICe+ filing and the professional's declaration | Name check, FiLLiP filing, LLP agreement drafting | Filling GST REG-01, uploading documents, replying to queries |
| Often extra | Share certificates, INC-20A, auditor appointment, trademark | Form 3 filing, stamp paper, bank account help | Monthly or quarterly GST returns |

Who are Company Registration consultants, experts and agents?
Different people offer Registration help, and the labels are not regulated in the same way:
- Company Secretary (CS) in practice — a member of the Institute of Company Secretaries of India holding a certificate of practice. Company law filings are core to their work.
- Chartered Accountant (CA) in practice — a member of the Institute of Chartered Accountants of India. Often handles tax, GST, accounting and audit as well as Registration.
- Cost Accountant in practice and advocates — also allowed to give the professional declaration needed under Section 7 of the Companies Act for incorporation.
- Consultants, experts or agents — general terms. They may be qualified professionals, firms that employ them, or intermediaries who pass the work to someone else. A company's SPICe+ still needs a declaration from an advocate, CA, CS or Cost Accountant in practice, so ask who that will be.
The same applies to LLP Registration consultants and experts: FiLLiP must be certified by a practising professional, so ask who is certifying it. If the terms themselves are new to you, the Private Limited Company lessons and the LLP lessons explain them first.
Because Registration is fully online on the MCA portal and the GST portal, a professional in another city can do the work as well as one near you. Location matters less than clarity, responsiveness and qualifications. You can check a CA's membership on the ICAI website and a CS's on the ICSI website.
What questions should you ask before choosing a package?
- Is the price inclusive of government fees and stamp duty? For which state and what authorised capital or contribution?
- How many DSCs are included, and for how many years of validity?
- Who signs the professional declaration or certification? Ask for the name and membership number.
- How many name attempts are covered? A rejected RUN application needs a fresh fee.
- Are post-Registration items included? For a company: share certificates, INC-20A, first board meeting minutes, auditor appointment. For an LLP: drafting and filing the LLP agreement in Form 3 within 30 days.
- What is excluded? Ask for a written exclusions list.
- What happens if the Registrar raises a query or rejects the form? Is resubmission covered?
- Is any yearly compliance contract bundled or required?
Who should own the DSC and the portal logins?
This is the most overlooked point. A Digital Signature Certificate legally belongs to the individual named in it — it is your signature. Practical rules:
- The USB token and its password should be in your control. A professional may use it with your permission for a filing, but you should get it back.
- Your own mobile number and email address should be used in the DSC application, the MCA user account and the GST application. Government OTPs, notices and reminders go there.
- Ask for the MCA and GST portal login details for the company or LLP, and change the passwords if needed.
- Keep copies of every filed form, the challans (payment receipts), the Certificate of Incorporation, PAN, TAN, MoA, AoA or LLP agreement.
If someone else holds your DSC, logins and records, switching professionals later becomes harder than it should be.
What are the red flags?
- "Government approved" or "official" claims. The Registration is granted by the Registrar of Companies under the MCA (or by the GST officer for GST). No private provider is approved to grant it. See Online Company Registration: the official MCA portal.
- Guaranteed timelines such as "in 24 hours". Approval depends on the Registrar. Our post on Company Registration in 24 hours explains realistic timelines.
- A price with no written scope, or reluctance to name the certifying professional.
- Pressure to take a higher authorised capital than you need (it raises stamp duty and, above ₹15 lakh, MCA fees).
- Asking you to share Aadhaar OTPs for things you did not ask for.
- No mention of annual compliance for a PVT. LTD. — every company needs an audit and annual filings.
What should a GST Registration package cover?
GST Registration has no government fee. A package pays for preparing the application, uploading documents such as proof of the place of business, completing Aadhaar authentication and answering any clarification notice. Under the CGST Rules, a clean application is normally approved within 7 working days, or within 30 days if physical verification of the place of business is needed. The bigger cost is what comes after: monthly or quarterly GST returns, which a Registration package does not usually include. Also check whether you need GST Registration at all — the threshold is ₹40 lakh turnover for goods and ₹20 lakh for services in most states, though some businesses must register regardless. The GST Registration lessons explain when it is compulsory.
What about post-Registration compliance?
A PVT. LTD. or OPC must appoint an auditor, file INC-20A within 180 days, and file annual financial statements and returns every year. An LLP must file Form 11 and Form 8 each year. A GST-registered business files returns even with zero sales. Ask whether the person who helped you register will also handle these, at what scope, and whether you are free to choose someone else. The LLP annual compliance checklist and the Life after Registration lessons list the filings.
Key takeaways
- A Registration package bundles government fees, DSCs and professional work — compare the written scope, not the headline price.
- Consultants, experts and agents vary; ask who in practice will certify your forms and check their membership.
- Your DSC, email, mobile number and portal logins should stay under your control.
- No private provider is "government approved"; the ROC or GST officer grants Registration.
- Ask what happens after Registration — annual compliance is where long-term cost lies.
Frequently asked questions
What should be included in a Company Registration package?
A complete Company Registration package usually covers the name check, Digital Signature Certificates, drafting the MoA and AoA, filing SPICe+ and its linked forms, the professional's declaration, and handling Registrar queries. It should state whether government fees and stamp duty are included and for which state and capital. Post-Registration items like share certificates, auditor appointment and Form INC-20A are often charged separately, so confirm in writing.
Who should keep the Digital Signature Certificate after Registration?
A Digital Signature Certificate belongs to the individual named in it, because it is that person's legal signature. The USB token and password should remain with the director or designated partner, who may let a professional use it for a specific filing. Using your own email and mobile number on the DSC, MCA and GST accounts ensures you receive government OTPs and notices directly.
Is there a government fee for GST Registration?
No. GST Registration on the official GST portal has no government fee. Any amount charged is a professional fee for preparing the application, uploading documents, completing Aadhaar authentication and replying to clarification notices. The larger ongoing cost is filing GST returns every month or quarter, even when there are no sales, which a Registration package usually does not include.
Does it matter if a Company Registration consultant is in another city?
Usually not. Company, LLP and GST Registration are done fully online on the MCA and GST portals, documents are uploaded as scans and forms are signed with DSCs. A consultant in another city can file as well as a local one. What matters more is a clear written scope, quick responses, and the name and membership number of the professional who certifies the forms.
What are red flags when choosing a Registration consultant?
Warning signs include claims of being government approved, guaranteed approval in a fixed number of hours, a price without written scope, unwillingness to name the certifying professional, pressure to choose higher authorised capital than needed, keeping your DSC and portal logins, and silence about annual compliance. Registration is granted by the Registrar of Companies or the GST officer, never by a private provider.
