How to Register an E-commerce or Online Business in India?

In short

Compare Pvt Ltd, LLP, OPC, proprietorship and partnership for marketplace sellers, Shopify stores, D2C brands and online services. Understand ownership, GST, IEC and annual costs.

Website calculation period: Financial-year research starts on 1 April 2016 (FY 2016–17). January–March 2016 is excluded from website research calculations. Each full financial year runs from 1 April to 31 March. FY 2021–22 has three missing source months; FY 2026–27 covers April–September 2026 only. Missing months are not estimated.

For an e-commerce or online business in India, compare Proprietorship or OPC for a sole owner, and Partnership, LLP or Pvt Ltd for co-founders. An Amazon seller, Flipkart seller, Shopify store or D2C brand does not automatically need a Pvt Ltd company simply because it sells online. Choose according to ownership, liability, equity funding plans and annual compliance costs; check the requirements for your products and sales channel separately.

What kind of e-commerce or online business are you starting?

Separate selling goods on Amazon or Flipkart, running a Shopify store or D2C brand, delivering online services, and operating a marketplace connecting other sellers with customers. Dropshipping describes a fulfilment arrangement; it does not settle your structure or remove responsibility for customer orders.

For software, SaaS, web development or an AI service, also read the IT business guide. Online product sales and software services should not be treated as one statistical category.

Pvt Ltd, LLP, OPC, Proprietorship or Partnership?

  • Proprietorship: one owner with direct control and personal business liability. Assess it for an owner-run seller business; tax and applicable registrations still remain.
  • Partnership: co-owners can agree roles and profit sharing, but partners generally face personal liability for firm obligations.
  • LLP: compare for two or more founders funding operations as partners. Limited liability has legal exceptions; annual filings and tax compliance remain.
  • OPC: compare for a sole owner wanting a company structure. Budget for company administration and consider future co-owners.
  • Pvt Ltd: assess for share-based ownership, outside equity investment or employee equity. Annual audit and company filings remain even without sales.

Agree who owns the domain, brand, stock, customer relationships and platform accounts. For an online store, supplier credit, refunds and payment-gateway settlements matter; for a marketplace, seller contracts and platform responsibilities also matter. Personal guarantees can create exposure despite limited liability.

Broader-sector registration context: 2016–September 2026

This table is not an exact count of e-commerce or online businesses. It covers combined wholesale, retail and motor trade/repair: legacy divisions 50–52 and newer divisions 45–47. Online sellers may appear here, but software services and marketplace operators classified elsewhere are not comprehensively included.

Coverage notes: Calculations use MCA monthly incorporation reporting periods from 1 April 2016 to 30 September 2026. FY 2021–22 is missing November 2021, January 2022 and March 2022. FY 2026–27 covers April–September 2026 only. Records without usable activity codes are excluded from sector allocation, including LLP records in October 2018 without activity codes. Code definitions changed over time; the stated legacy/newer scope is retained. No missing records are estimated. The sector table includes Private Limited, LLP and OPC only; Public/Other Companies, Foreign Companies, Proprietorships and ordinary Partnerships are excluded. Private Limited excludes OPC. These sector tables are not the Company-only state tables, which exclude LLPs.

Do you need GST, IEC or other registrations?

GST: check turnover, goods versus services, interstate supplies and the sales channel. Certain eligible goods sellers using e-commerce operators can obtain an exemption subject to conditions, including no interstate goods supplies, operations through those operators in only one state or union territory, and portal enrolment. It is not an exemption for every online seller. See the e-commerce GST guide.

IEC: importing or exporting goods generally requires IEC unless exempt. Exporting services has different IEC rules. Food, cosmetics, drugs and other regulated products may require product-specific permissions; website creation is not operating approval.

Consumer obligations: check applicable e-commerce rules for disclosures, grievances, returns and unfair practices, including relevant amendments. A seller on someone else’s marketplace and the entity operating that marketplace have different duties. Check local establishment and data-handling requirements for your operations.

E-commerce business registration: common questions

Do I need a Pvt Ltd company to sell on Amazon or run a Shopify store?

Not automatically. Compare the five structures above, then check the platform’s current seller requirements and applicable product permissions.

Can an LLP operate a D2C brand or online store?

An LLP can be considered for partner-owned trading operations. If you plan company shares or outside equity investors, compare Pvt Ltd before incorporating.

Is GST Registration compulsory for every online goods seller?

No blanket answer applies. Notification 34/2023 provides a conditional exemption for eligible below-threshold goods suppliers through e-commerce operators. Conditions include no interstate goods supplies, operator-based sales in only one state or union territory, PAN validation and portal enrolment.
