How to Register an IT or AI Company in India: Pvt Ltd, LLP or OPC?

In short

Starting a software development company, web design studio or web development agency in India? An AI company building artificial intelligence products, a SaaS startup and an IT consulting business may have different ownership and funding plans. Compare Private Limited, LLP and OPC before choosing your IT business structure.

Website calculation period: Financial-year research starts on 1 April 2016 (FY 2016–17). January–March 2016 is excluded from website research calculations. Each full financial year runs from 1 April to 31 March. FY 2021–22 has three missing source months; FY 2026–27 covers April–September 2026 only. Missing months are not estimated.

For an IT business in India, compare Pvt Ltd for share-based ownership and equity funding, LLP for partner-owned operations, and OPC for a sole owner seeking a company structure. A solo freelancer can also assess Proprietorship; co-owners can assess Partnership. Software development, AI products, SaaS, web design, web development and IT consulting need an ownership plan before incorporation. The table below covers available core IT records from 1 April 2016 to 30 September 2026, with scope and coverage notes.

What Do the Registration Figures Show?

In FY 2026–27 (1 April to 30 September 2026), the stated activity scope contains 23,924 classified registrations: 17,307 Private Limited, 5,171 LLP and 1,446 OPC. These are six-month incorporation records within the stated scope, not a full-year result or evidence of business success.

Private Limited or LLP for a Software Company, SaaS Business or AI Startup?

Compare whether ownership will be held through company shares or an LLP partnership. A software product or AI business seeking equity investors has different ownership needs from a consultancy funded by client revenue.

LLP or OPC for a Web Development or Digital Marketing Agency?

If partners are building a web design, web development, SEO or digital marketing agency, assess an LLP alongside a Private Limited company. A solo IT consultant considering an OPC should also assess plans to bring in cofounders. The table covers core computer activities; it is not a separate count of all agencies.

Which Business Structure Should You Choose?

Private Limited: assess when share-based ownership and outside equity investment are planned. LLP: assess partnership-based ownership and partner-funded operations. OPC: assess for a sole owner seeking a company structure, allowing for future ownership changes.

Compare ownership, funding, taxation and ongoing compliance costs before deciding. Registration popularity is useful context; your business plans should guide the choice.

Coverage notes: Calculations use MCA monthly incorporation reporting periods from 1 April 2016 to 30 September 2026. FY 2021–22 is missing November 2021, January 2022 and March 2022. FY 2026–27 covers April–September 2026 only. Records without usable activity codes are excluded from sector allocation, including LLP records in October 2018 without activity codes. Code definitions changed over time; the stated legacy/newer scope is retained. No missing records are estimated. The sector table includes Private Limited, LLP and OPC only; Public/Other Companies, Foreign Companies, Proprietorships and ordinary Partnerships are excluded. Private Limited excludes OPC. These sector tables are not the Company-only state tables, which exclude LLPs.

IT company registration: common questions

How do I register a software development or AI business in India?

Choose the ownership structure first. Use the MCA company or LLP incorporation process if you choose one of those entities. See the Documents Required for Company Registration in India: PVT LTD and OPC or LLP Registration in India: Process, Documents, Costs and Agreement; Proprietorship and Partnership follow different routes.

Should a SaaS startup choose Pvt Ltd or LLP?

Consider Pvt Ltd when you plan company shares, outside equity investors or employee equity. Compare LLP for partner-owned operations. The funding plan matters more than the SaaS label.

Can a solo web designer or IT consultant start without a Pvt Ltd company?

Compare Proprietorship with OPC according to personal liability, client requirements and annual costs. Starting small does not remove applicable tax or other obligations.

Does this table count every AI or digital marketing company?

No. AI is not separately identified, and advertising, SEO and social media agencies are not comprehensively included. Read the national business-activity research and classification scope for related sector context.

A practical example for your structure decision

Two developers building a web development agency may compare partner-based ownership with company shares. If they later develop a SaaS product and seek equity investors, share ownership becomes a separate consideration from their client-service income.
