How to Start an Import Export Business in India: PVT LTD, LLP or OPC?
In short
Compare PVT LTD, LLP and OPC for an import-export business in India. Understand IEC registration, documents, government fees and annual updates.
An import-export business in India does not automatically need Pvt Ltd; compare ownership and funding first, then apply separately for IEC where required. Planning to start a merchant export business, import trading company or international trading business? Choose a structure that fits your ownership and funding plans, then obtain the registrations required for your products.
Whether you export textiles, handicrafts, food products or engineering goods—or import machinery and electronics—company registration and IEC registration are separate requirements.
Which Structure Is Suitable for an Import Export Business?
| Structure | Suitable for | Key consideration |
|---|---|---|
| PVT LTD | Founders building an export brand or planning equity investment | Allows share ownership and investor participation |
| LLP | Partners operating a trading business with their own capital | Flexible partnership arrangements; cannot issue company shares |
| OPC | A solo founder wanting a company structure | One shareholder; conversion needed before adding another owner |
Example: Two partners exporting garments with their own funds may consider an LLP. An export brand seeking equity investors may consider a Private Limited Company. A solo merchant exporter may consider an OPC.
A proprietorship or partnership can also obtain IEC. A Private Limited Company is not compulsory for starting an import-export business.
Is IEC Required for Import and Export?
IEC—Importer-Exporter Code—is issued by DGFT. It is generally mandatory for commercial imports and exports of goods, unless specifically exempted.
IEC is PAN-based, but you must apply separately: PAN or company incorporation does not automatically provide IEC.
For services and technology, IEC is required when claiming Foreign Trade Policy benefits or dealing with specified services or technologies. It is not automatically compulsory for every business serving foreign clients.
Documents Required for IEC Registration
Keep these ready for IEC registration online:
- Applicant’s PAN and business constitution details.
- Business address proof, with the owner’s NOC where applicable.
- Cancelled cheque or bank certificate.
- Director, partner or proprietor details.
- Email, mobile number and DSC or Aadhaar e-sign, as applicable.
Keep incorporation documents available for PVT LTD, LLP or OPC applications. The portal’s upload requirements depend on the applicant’s constitution.
IEC Fees and Annual Update
Apply through the official DGFT portal. The government fee for a new IEC is ₹500, excluding professional assistance charges.
Confirm or update IEC details every year between April and June, even if nothing has changed. Missing this requirement can lead to deactivation.
What Else Should You Check Before Trading?
IEC does not authorise every product. Check the ITC(HS) code, import-export restrictions, customs duties, applicable GST obligations, bank AD-code requirements and product-specific approvals before accepting an order. Restricted goods may require separate permission.
Choose PVT LTD, LLP or OPC based on ownership and growth plans—not merely because the business involves overseas trade.

Import-export business registration: common questions
Can a Proprietorship or Partnership obtain IEC?
Yes. IEC is not restricted to companies or LLPs. Choose the business structure according to ownership and funding, then apply under the applicant’s constitution.
Does company incorporation automatically provide IEC?
No. PAN-based IEC requires a separate DGFT application where applicable. Review DGFT’s IEC provisions for goods, services and exemptions.
Is an import export licence the same as an IEC code?
“Import export licence” is often used when searching for IEC registration. IEC identifies the importer or exporter; restricted products may still require separate authorisation. Review the goods’ ITC(HS) classification and applicable requirements before treating IEC as sufficient for a shipment.
