How to Register a Restaurant Business in India?

In short

Compare ownership, funding, liability and compliance for restaurant registration, restaurant LLP versus Pvt Ltd and restaurant company registration. Historical figures are clearly labelled as broader-sector context.

Website calculation period: Financial-year research starts on 1 April 2016 (FY 2016–17). January–March 2016 is excluded from website research calculations. Each full financial year runs from 1 April to 31 March. FY 2021–22 has three missing source months; FY 2026–27 covers April–September 2026 only. Missing months are not estimated.

For a restaurant business in India, compare Pvt Ltd for share-based ownership and equity funding, LLP for partner-owned operations, and OPC for a sole owner seeking a company structure. A restaurant does not have to be a Pvt Ltd company. A sole owner can compare proprietorship with OPC; co-owners can compare partnership, LLP and Pvt Ltd. Outside equity, a chain of outlets and ownership of the brand can change the choice.

Which structure suits this business?

Separate the restaurant operator from the owner of the property. Record who signs the lease, funds kitchen equipment and holds the brand. An LLP can support partner-run ownership; a Pvt Ltd company can support share-based investment. A franchise agreement adds obligations whichever structure you choose.

  • Proprietorship: one owner; personal liability; no MCA company annual filings, but tax and other applicable duties remain.
  • Partnership: two or more partners; agreed profit sharing; partners generally bear personal liability for firm obligations.
  • LLP: two or more partners; separate entity and limited liability, subject to legal exceptions; annual filings and tax compliance remain.
  • OPC: one member; company administration and annual compliance; assess future co-owner plans.
  • Pvt Ltd: share-based ownership for multiple owners and equity investment; annual audit and company filings remain even without sales.

Broader-sector registration context: 2016–September 2026

This is not an exact count of restaurant businesses. Combined accommodation and food services: legacy division 55; newer divisions 55–56. Older records do not consistently separate hotels, restaurants, catering or cloud kitchens.

Coverage notes: Calculations use MCA monthly incorporation reporting periods from 1 April 2016 to 30 September 2026. FY 2021–22 is missing November 2021, January 2022 and March 2022. FY 2026–27 covers April–September 2026 only. Records without usable activity codes are excluded from sector allocation, including LLP records in October 2018 without activity codes. Code definitions changed over time; the stated legacy/newer scope is retained. No missing records are estimated. The sector table includes Private Limited, LLP and OPC only; Public/Other Companies, Foreign Companies, Proprietorships and ordinary Partnerships are excluded. Private Limited excludes OPC. These sector tables are not the Company-only state tables, which exclude LLPs.

A practical decision before registration

Two chefs opening one restaurant should settle profit sharing and exit terms. A restaurant group opening investor-funded outlets should also settle who owns each outlet and whether investment enters the operating company or another entity.

Which registrations and permissions should you check?

Obtain the appropriate FSSAI registration or licence through FoSCoS. Check local trade or eating-house permissions, fire safety and applicable labour requirements. Alcohol service requires a separate state excise check. GST treatment depends on the actual supplies and operating model; do not assume incorporation itself makes GST registration compulsory.

Check GST against the current rules for turnover, supplies and state; a company or LLP does not automatically require every registration. Keep records, tax returns and sector compliance in your annual budget.

Restaurant registration: common questions

LLP or Pvt Ltd for a restaurant with two founders?

Compare partner contributions and profit sharing with company shares and investor participation. Agree ownership of the brand, equipment and lease.

Does opening more outlets require a new structure automatically?

No automatic choice follows from the outlet count. Review how new owners, funding and outlet contracts will fit your existing structure.

Does the table show restaurant registrations alone?

No. It combines accommodation and food-service activities; individual restaurant counts are not isolated.

What should you do next?

Compare Business Structures in India: Proprietorship, Partnership, LLP, PVT LTD and OPC, then use the Documents Required for Company Registration in India: PVT LTD and OPC or LLP Registration in India: Process, Documents, Costs and Agreement. For simpler forms, see proprietorship registration and partnership registration.

Before choosing, obtain a written estimate of annual accounting, tax, audit and filing costs—not only the incorporation fee.
