How to Register a Cloud Kitchen Business in India?

In short

Compare ownership, funding, liability and compliance for cloud kitchen registration, delivery kitchen company and cloud kitchen LLP or OPC. Historical figures are clearly labelled as broader-sector context.

Website calculation period: Financial-year research starts on 1 April 2016 (FY 2016–17). January–March 2016 is excluded from website research calculations. Each full financial year runs from 1 April to 31 March. FY 2021–22 has three missing source months; FY 2026–27 covers April–September 2026 only. Missing months are not estimated.

For a cloud kitchen in India, compare Proprietorship or OPC for a sole owner, and Partnership, LLP or Pvt Ltd for co-founders. A delivery-only kitchen does not automatically need a Pvt Ltd company. Your owners, liability and funding plans guide the structure; FSSAI and premises requirements are separate. Plan ownership of the food brand and kitchen before expanding or joining food-delivery platforms.

Which structure suits this business?

Decide who owns the food brand, delivery-platform account, recipes and kitchen lease. An LLP can support co-founders funding operations themselves; Pvt Ltd can support equity investment. A solo founder comparing OPC and proprietorship should include annual company administration in the budget.

  • Proprietorship: one owner; personal liability; no MCA company annual filings, but tax and other applicable duties remain.
  • Partnership: two or more partners; agreed profit sharing; partners generally bear personal liability for firm obligations.
  • LLP: two or more partners; separate entity and limited liability, subject to legal exceptions; annual filings and tax compliance remain.
  • OPC: one member; company administration and annual compliance; assess future co-owner plans.
  • Pvt Ltd: share-based ownership for multiple owners and equity investment; annual audit and company filings remain even without sales.

Broader-sector registration context: 2016–September 2026

This is not an exact count of cloud kitchen businesses. Combined accommodation and food services: legacy division 55; newer divisions 55–56. Older records do not consistently separate hotels, restaurants, catering or cloud kitchens.

Coverage notes: Calculations use MCA monthly incorporation reporting periods from 1 April 2016 to 30 September 2026. FY 2021–22 is missing November 2021, January 2022 and March 2022. FY 2026–27 covers April–September 2026 only. Records without usable activity codes are excluded from sector allocation, including LLP records in October 2018 without activity codes. Code definitions changed over time; the stated legacy/newer scope is retained. No missing records are estimated. The sector table includes Private Limited, LLP and OPC only; Public/Other Companies, Foreign Companies, Proprietorships and ordinary Partnerships are excluded. Private Limited excludes OPC. These sector tables are not the Company-only state tables, which exclude LLPs.

A practical decision before registration

A founder operating three virtual brands from one kitchen still needs clear operator details and agreements. A shared-kitchen arrangement should explain who controls food safety, equipment and premises access.

Which registrations and permissions should you check?

A cloud kitchen needs the appropriate FSSAI registration or licence even without customer seating. Check the kitchen activity and premises through FoSCoS, along with local, fire and labour requirements. Review GST treatment for direct sales and platform orders separately, because the transaction route can affect tax responsibilities.

Check GST against the current rules for turnover, supplies and state; a company or LLP does not automatically require every registration. Keep records, tax returns and sector compliance in your annual budget.

Cloud kitchen registration: common questions

Does a cloud kitchen without seating need FSSAI registration?

Yes. It needs the appropriate FSSAI registration or licence. Check current eligibility for the activity and premises through FoSCoS.

Can I start a cloud kitchen from home?

Check whether food preparation is permitted at that address, along with FSSAI, local approvals, fire safety and landlord or society conditions. A residential address alone is not operating approval.

Should two cloud-kitchen founders choose LLP or Pvt Ltd?

Compare LLP for partner-funded operations and Pvt Ltd for share-based ownership or equity investment. Agree ownership of the brand, premises arrangements and annual compliance budget before registering.

What should you do next?

Compare Business Structures in India: Proprietorship, Partnership, LLP, PVT LTD and OPC, then use the Documents Required for Company Registration in India: PVT LTD and OPC or LLP Registration in India: Process, Documents, Costs and Agreement. For simpler forms, see proprietorship registration and partnership registration.

Before choosing, obtain a written estimate of annual accounting, tax, audit and filing costs—not only the incorporation fee.
