How to Register a Property Development Company in India?
In short
Compare structures for property development company in India, with ownership questions, operating approvals and annual compliance costs.
Website calculation period: Financial-year research starts on 1 April 2016 (FY 2016–17). January–March 2016 is excluded from website research calculations. Each full financial year runs from 1 April to 31 March. FY 2021–22 has three missing source months; FY 2026–27 covers April–September 2026 only. Missing months are not estimated.
A property developer should choose ownership around land rights, project finance and investors. Pvt Ltd may suit company shares; LLP may suit partners contributing capital or development rights, subject to the project and funding arrangement.
Ownership questions for your property development company
Decide which entity owns land, receives customer payments and contracts with builders. A project-specific entity and the founder's existing consultancy should not be casually treated as interchangeable.
Pvt Ltd, LLP, OPC, Proprietorship or Partnership?
- Pvt Ltd: compare for company shares, co-founders, outside equity investment and employee equity plans.
- LLP: compare for two or more owners operating as partners; agree contributions, work roles and profit sharing.
- OPC: assess for an eligible sole founder seeking a company structure; consider how future co-founders would join.
- Proprietorship: assess for one owner accepting personal business liability.
- Partnership: assess shared ownership while recognising partners' generally personal liability for firm obligations.
Limited liability has exceptions, and personal guarantees can create personal exposure. Compare the proposed contracts and financing before choosing.
Registrations and operating requirements
Review applicable RERA project requirements, planning permissions and project-finance conditions before marketing or accepting bookings.
Check requirements for the actual activity and location before committing to premises, equipment or customer contracts. Incorporation and operating permission are separate.

Coverage notes: Calculations use MCA monthly incorporation reporting periods from 1 April 2016 to 30 September 2026. FY 2021–22 is missing November 2021, January 2022 and March 2022. FY 2026–27 covers April–September 2026 only. Records without usable activity codes are excluded from sector allocation, including LLP records in October 2018 without activity codes. Code definitions changed over time; the stated legacy/newer scope is retained. No missing records are estimated. The sector table includes Private Limited, LLP and OPC only; Public/Other Companies, Foreign Companies, Proprietorships and ordinary Partnerships are excluded. Private Limited excludes OPC. These sector tables are not the Company-only state tables, which exclude LLPs.
